The business designs and implements a broad range of financial solutions — from conventional strategies through to complex, multi‑jurisdictional structured transactions involving custody, collateral, and capital markets frameworks.

Caprock Institutional provides trustee, fund structuring and investment capabilities within a high‑control, compliance‑first operating model, while Caprock Private supports advisers and wholesale investors through tailored portfolio and execution solutions.

The firm operates a fully integrated model across structuring, custody, execution and compliance, allowing clients to access opportunities that would otherwise be difficult to implement or scale.

Role Description

This is a full‑time, in‑office role based in Sydney (not remote or hybrid).

We are seeking a Senior Legal Counsel – Structured Finance & Complex Structures to work directly with senior leadership on complex, high‑value transactions.

This role is not a traditional legal advisory position. You will be responsible for designing, stress‑testing and implementing transaction structures in situations where:

- Legal entitlement, control and execution sit in different places
- Enforcement pathways are not straightforward
- Counterparties (banks, custodians, issuers) operate under competing constraints
- Standard market documentation is insufficient

You will play a central role in ensuring transactions are both commercially executable and legally defensible,



particularly across:

- Structured credit and capital markets transactions
- Custody and collateral structures
- Enforcement and default mechanics
- Cross‑border, multi‑party transaction frameworks

Key Responsibilities Transaction Structuring & Deal Execution

- Lead legal structuring on complex transactions from origination through execution
- Translate commercial concepts into clear, enforceable legal frameworks
- Identify gaps between intended structure vs operational execution

Control, Custody & Enforcement Analysis

- Analyse how assets are held, controlled and instructed in practice (not just legally)
- Design workable enforcement pathways in default scenarios
- Assess limitations imposed by custodians, banks and counterparties

Lender & Credit Positioning

- Determine what a structure actually supports from a lender perspective
- Identify whether arrangements are:
- non‑reliance
- Build the minimum legal and documentation stack required for credit acceptance
- enforceability vs operational intent
- bankruptcy remoteness and recharacterisation risk

- Ensure the business is protected on:

- fees and engagement risk
- dependency on third parties

Documentation & Negotiation

- Draft and negotiate:
- bespoke transaction structures
- security / control documentation




- intercreditor and enforcement frameworks

- Work directly with:

- Banks
- Custodians
- Issuers
- External counsel

Qualifications

- Admitted legal practitioner (Australia or comparable common law jurisdiction)
- 8–15+ years PQE in:
- structured finance
- banking & finance
- capital markets or securitisation

Critical Experience (Must‑Have)

- Experience working on non‑standard or bespoke transaction structures
- Robust understanding of:
- collateral and security frameworks
- custody and control mechanics
- enforcement and default pathways

- Ability to assess how structures actually work in practice, not just on paper

Highly Desirable

- Exposure to:
- cross‑border transactions
- trustee / security agent structures
- capital markets infrastructure

- Experience dealing with situations where:

- documentation, control and enforcement are not fully aligned

Key Attributes

- Highly commercial and outcome‑driven
- Able to operate in ambiguous, high‑pressure environments
- Strong judgement — knows where to hold the line vs move forward
- Structured thinker with the ability to design solutions, not just critique them
- Direct, clear communicator with senior stakeholders

Work Arrangement

This is a full‑time, in‑office role based in Sydney CBD.

We operate in a high‑performance, collaborative environment, and this role requires:

- daily face‑to‑face engagement
- close interaction with senior leadership
- hands‑on involvement in live transactions
- Investment Banking
