The role
We are looking for a Commercial / IP Lawyer with 2–3 years’ post-qualification experience to join our Bondi Junction team.
This is a broad commercial role with a significant intellectual property component. You will work across day-to-day business agreements, corporate transactions and brand protection, including helping manage our clients’ Australian and international trade mark portfolios.
You will have direct client contact, responsibility for progressing your matters and support from experienced colleagues on more complex work.
What you will be doing
Commercial and corporate
Drafting, reviewing, amending and negotiating a broad range of commercial agreements.
Advising on manufacturing, distribution, supply, licensing and services agreements.
Preparing and negotiating business and share sale and purchase agreements.
Assisting with mergers and acquisitions, including due diligence, transaction documents and completion.
Drafting and reviewing shareholders’ agreements and advising on ownership structures, founder arrangements and investor rights.
Assisting with employee share and option plans, including ESOP documentation and implementation.
Drafting and advising on SaaS agreements, software licences, technology contracts and business terms and conditions.
Helping clients understand contractual risks and reach practical commercial outcomes.
Intellectual property and trade marks
Managing the day-to-day conduct of Australian and international trade mark portfolios, including applications, deadlines, renewals and portfolio records.
Conducting trade mark searches and assisting with clearance, registrability and brand protection advice.
Preparing goods and services specifications and lodging Australian trade mark applications.
Assisting with Madrid Protocol applications and coordinating international filings with overseas associates.
Reviewing and assisting with responses to adverse examination reports, including preparing submissions and supporting evidence.
Assisting with oppositions, non-use proceedings, infringement issues and enforcement correspondence.
Handling trade mark assignments, ownership changes and recordals.
Advising on IP ownership, protection and commercialisation, including licensing arrangements and IP issues arising in commercial transactions.
Across both areas, you will manage files, communicate directly with clients and other advisers, and keep matters moving with clear advice and timely follow-through.
About you
You enjoy understanding how businesses operate and finding solutions that work commercially.
You are comfortable getting into the detail of an agreement while keeping the client’s objectives in mind.
You will bring
2–3 years’ PQE, admission as an Australian lawyer and a current practising certificate, or eligibility to obtain one.
A solid foundation in commercial law, with experience drafting, reviewing and amending business agreements.
Practical trade mark experience, ideally including applications, portfolio management and assisting with adverse examination reports.
Strong drafting, research and analytical skills, with the ability to explain legal issues in plain English.
Good organisation and attention to detail, particularly when managing competing matters and critical deadlines.
The confidence to take ownership of your work and the judgment to seek guidance when needed.
- A collaborative approach and a genuine interest in building lasting client relationships.
Experience with corporate transactions, ESOPs, technology agreements or international trade mark portfolios will be highly regarded. We do not expect you to have worked across every area listed, but we are looking for a strong commercial foundation and enthusiasm for developing across both commercial law and IP.
