About Advance Delivery Legal (ADL)

ADL has built a reputation for cost-effectively resourcing elements of large matters while guaranteeing the standards that clients expect from A&O; Shearman as well as developing expertise in a wide range of smaller matters and activities. ADL also drives efficiencies by prioritising the use of legal technology on matters and to streamline processes.

Our Corporate team is comprised of high-quality, tech-optimised associates and legal professionals. We work on a range of corporate matters, with a particular focus on M&A;, private equity, and large-scale reorganisations. The team provides support to offices across our global network, working on high profile transactions with global clients.

What you will do

- Develop robust reworking relationships with Partners,



Senior Associates and instructing teams on a wide range of financing transactions, including corporate lending, leveraged finance, acquisition finance, real estate finance and general banking matters.
- Assist with drafting and reviewing finance documentation, including facility agreements, checklists, security documents, intercreditor agreements and ancillary transaction documents.
- Conduct legal due diligence and support transaction execution across multi-jurisdictional matters.
- Manage transaction processes, including coordinating deliverables, conditions precedent, signing and completion requirements.
- Establish and maintain the highest standards for quality, efficiency and client service, including quality controlling work products and ensuring accuracy of documentation.
- Manage and report on progress and liaise with internal and external clients to address points of relevance or concern, resolving queries and issues efficiently.
- Support the development of innovative legal solutions and contribute to process improvement initiatives across the Banking & Finance practice.
- Represent and promote ADL across the A&O; Shearman global network in meetings, instructing team discussions and with internal clients.
- Develop strong working relationships with colleagues across the global network and contribute positively to team development and collaboration.

Key requirements

- Qualified solicitor, with the ability to hold an Australian practising certificate.
- Ideally 1 - 3 years post qualification experience gained in private practice,



or in-house legal team, advising on banking, finance or lending transactions.
- Experience drafting and reviewing finance documentation, including loan agreements, security packages and ancillary transaction documents.
- Experience supporting financing transactions from inception through to completion.
- Strong understanding of banking and finance principles, transaction structures and legal risk considerations.
- Demonstrates sound judgement, commercial awareness and strong analytical skills.
- Strong attention to detail, commitment to delivering high-quality work and high levels of self-motivation.
- Strong organisational skills with the ability to manage multiple transactions and competing deadlines.
- Strong relationship-building skills with the ability to establish credibility and inspire confidence with internal clients and colleagues.
- Demonstrates an interest in legal technology and innovative approaches to legal service delivery.
- Flexible, resourceful, and prepared to take a hands-on-approach, comfortable operating in a rapidly evolving business and interested in identifying and shaping that evolution.
