This role supports our professional services team, led by our principals, senior lawyers and senior governance experts. You will report to our Principal & Chief Learning Officer.
n
What you will do
n
Assist our senior lawyers and governance experts to deliver corporate legal, company secretarial and governance services across a portfolio of VC-backed, pre-IPO and ASX listed clients
n
Assist with researching and preparing advice on general corporate legal and governance matters raised by our clients
n
Support the management of corporate transactions including capital raises, M&A; and shareholder meetings, from due diligence through to completion
n
Assist with drafting and reviewing corporate, transactional and ASX documentation, along with precedents and templates
n
Support the company secretarial team across board and committee meetings — including preparing agendas, board packs, minutes and action items
n
Prepare and lodge ASIC and ASX forms and correspondence accurately and on time across the client base
n
Maintain statutory registers and records, and assist with company incorporations, deregistrations and business name management
n
Maintain client and internal files to a high standard and help keep matters moving to deadline
n
Engage with clients, founders, boards, senior management and external advisers under the guidance of senior staff
n
Contribute to internal precedents, templates and process improvement across our legal and CoSec workstreams
n
What you need to bring
n
1-2 years post-qualification experience in corporate or commercial law (any in-house corporate, company secretarial or professional services experience is a plus)
n
Admitted to practice in Australia
n
An interest in combining corporate legal work with company secretarial and governance practice
n
A working understanding of, or genuine interest in developing knowledge of, the Corporations Act, ASX Listing Rules and corporate governance fundamentals
n
Strong drafting skills, exact attention to detail and a commitment to accurate work
n
Clear, professional written and verbal communication
n
Solid Microsoft 365 skills — Copilot, Outlook, Word, Excel, Teams and SharePoint (experience with automations and flows a bonus; CAS360 experience desirable)
n
An open mind about AI and how it's changing professional work — you understand it's part of how modern firms operate, and you're excited to learn more
