About the Role

We are looking for an Associate or Senior Associate (3–6 PQE) to join our Sydney Corporate team.

This is an opportunity to work with one of Australia's leading private capital practices, advising private equity sponsors, venture capital investors, founders, institutional investors and corporates on complex domestic and cross-border transactions.

The team regularly works alongside leading international law firms and advisers on multi-jurisdictional deals, providing exposure to global investors, overseas counterparties and sophisticated cross-border transactions. The team is recognised for its market-leading work across private equity, M&A;, venture capital and strategic investments.

You will work closely with highly regarded partners on sophisticated transactions from inception to completion, gaining exposure to all stages of the deal lifecycle, including structuring, due diligence, negotiation, execution and post-completion integration.

Your responsibilities will include

- Advising on private and public M&A; transactions, private equity investments, venture capital financings, capital raisings and corporate restructures.
- Drafting and negotiating transaction documents, including share sale and purchase agreements, investment agreements and shareholders' agreements.
- Managing legal due diligence processes and preparing due diligence reports.
- Coordinating specialist advisers and transaction workstreams.
- Supporting transaction execution, including signings and completions.
- Conducting legal and regulatory research and providing commercially focused advice.
- Building strong client relationships while working directly with partners on significant matters.

Depending on your experience, you will take increasing responsibility for managing workstreams, mentoring junior lawyers and maintaining direct client contact.



The team offers genuine responsibility, close partner access and hands-on involvement in high-profile domestic and cross-border transactions, providing an outstanding platform to develop your technical expertise, commercial judgment and client management skills.

About You

You will have strong corporate transactional experience gained in a leading law firm, with exposure to M&A;, private equity, venture capital, equity capital markets or broader corporate advisory work.
