An exceptional Brisbane-based opportunity now exists for an experienced Company Secretary to join GPC in a highly influential governance leadership role supporting an engaged and contemporary Board, Chief Executive Officer and refreshed Executive Team.
Reporting directly to the Board and functionally to the CEO, you will serve as a trusted adviser, providing high-quality governance counsel, secretariat leadership and strategic support across a broad range of organisational matters.
Leading a small governance team, you will work closely with the Board, CEO and Executive Team to support effective decision-making, governance excellence and organisational performance.
This is a role for a seasoned professional who can quickly establish credibility, build confidence with Directors and Executives, and contribute to the effective leadership of a major Queensland organisation.
Key responsibilities include:
- Providing strategic governance advice and company secretarial support to the Board, Chair, Board Committees and CEO.
- Coordinating Board and Committee meetings, papers, minutes, resolutions and statutory obligations, including ASIC compliance.
- Managing and maintaining key governance registers, including conflict of interest, whistleblower, fraud and corruption,
privacy, gifts and benefits, lobbyist and public interest disclosure registers.
- Leading Right to Information, Information Privacy, Public Interest Disclosure and related governance processes and investigations.
- Leading governance and process improvement initiatives, including strengthening governance frameworks, enhancing Board reporting and decision-support processes, and supporting information management projects and system enhancements.
- Providing oversight and subject matter expertise for information management initiatives, records management improvements and future system upgrades and transition projects.
About you You will bring substantial Company Secretary, governance or board advisory experience gained in a complex, highly regulated environment. Experience within government-owned corporations, statutory authorities, infrastructure, ports, energy, utilities, resources or other asset-intensive sectors will be highly regarded, although strong governance professionals from adjacent industries are also encouraged to apply.
Recognised for your professionalism, sound judgement and integrity, you are a trusted adviser with the executive presence and relationship-building skills to work effectively with Boards, executives and key stakeholders.
You combine strategic insight with a practical, hands-on approach, enabling you to navigate complex issues, identify solutions and deliver outcomes with minimal direction.
A natural continuous improver, you enjoy strengthening governance frameworks, enhancing processes, building registers and improving information that supports effective Board decision-making. This role will suit a seasoned governance professional who thrives in dynamic environments and is equally comfortable influencing at Board level and leading governance initiatives across the organisation.
Legal qualifications will be well regarded but are not essential, and membership of the Governance Institute of Australia or a similar professional body is highly desirable.
Location
Based in Brisbane, with periodic travel to Gladstone for Board meetings, this is a rare prospect to work closely with a highly capable Board and Executive Team while helping shape the governance and future direction of one of Queensland’s most important infrastructure organisations.
