Our client offers a diversified investment platform spanning private markets and alternative investment strategies, managing capital on behalf of institutional investors, family offices and sophisticated investors. The newly created Legal Counsel role offers broad exposure across investment transactions, funds management, corporate governance and commercial legal matters, working closely with senior executives and investment professionals across the business.

This is an outstanding opportunity for a commercially minded lawyer seeking a varied in-house role within one of Australia's leading investment management businesses.

Responsibilities will include

- Providing practical legal advice across a broad range of commercial and corporate matters.
- Drafting, reviewing and negotiating a wide variety of commercial agreements including technology agreements, service provider contracts, confidentiality agreements, employment agreements and operational contracts.
- Advising the investment team on acquisitions, disposals, co-investments, financing transactions, restructures and other strategic investment activities.
- Supporting the establishment and ongoing management of investment funds and related investment structures.
- Advising on Australian financial services regulation including the Corporations Act, AFSL obligations, AML/CTF, privacy, conflicts management and other regulatory requirements.
- Reviewing and preparing fund documentation, investment management agreements, investor documentation, subscription agreements and related legal documentation.
- Providing legal support throughout the investment lifecycle, including transaction execution,



due diligence and ongoing portfolio management activities.
- Assisting with corporate governance, company secretarial matters, Board papers, Board resolutions and ASIC lodgements.
- Managing relationships with external legal advisers and coordinating specialist legal advice where required.
- Identifying legal and regulatory risks while delivering commercially pragmatic solutions that support business objectives.
- Assisting with the ongoing development of legal policies, governance frameworks and internal processes.

The successful candidate will possess:
- A Bachelor of Laws (LLB or JD) together with admission to practise in Australia.
- Approximately 5-10 years' post-qualification experience gained within a leading law firm or in-house legal team.
- Strong experience advising on corporate, commercial and transactional legal matters.
- Experience within investment management, private equity, private credit, infrastructure, banking or broader financial services will be highly regarded.
- A sound understanding of Australian financial services legislation and regulatory frameworks.
- Excellent drafting, negotiation and stakeholder management skills.
- Robust commercial judgement and the ability to balance legal risk with practical business outcomes.
- Exceptional written and verbal communication skills with the confidence to advise senior stakeholders.
- The ability to manage multiple priorities in a fast-paced, collaborative environment.
