In this role, you'll:
Lead Sydney Metro's corporate governance function, overseeing the frameworks, policies and governance practices that support effective decision-making across one of NSW's most significant infrastructure organisations. Managing a team of four, you will provide strategic governance leadership while ensuring the effective operation of the Board, Audit & Risk Committee, Executive Committee and other key governance forums. A critical component of the role is leading the Secretariat function, supporting a high-volume meeting cadence and partnering closely with Board Directors, Committee Members and senior executives.
Key areas of focus include:
Leading the Board, Audit & Risk Committee and Executive Committee Secretariat function
Providing expert corporate governance advice to senior leaders and Board stakeholders
Driving the ongoing enhancement of governance, policy and delegation frameworks
Delivering governance uplift initiatives and promoting governance capability across the organisation
This is a highly visible role requiring strong judgement, influence and adaptability. You'll operate at the centre of decision-making, balancing strategic governance leadership with hands-on delivery in a fast-paced and evolving environment.

About you
You are a seasoned corporate governance professional with extensive experience supporting Boards, Audit & Risk Committees and executive governance forums within complex,



highly regulated environments. With strong company secretariat expertise, you bring the credibility, judgement and stakeholder management skills required to partner effectively with Board Directors, Committee Members and senior executives, providing trusted advice on governance, compliance and decision-making.
You have a proven track record developing and enhancing governance frameworks, corporate policies and delegation frameworks, as well as leading governance uplift and continuous improvement initiatives. Combining strategic thinking with a hands-on approach, you thrive in fast-paced environments, adapt quickly to changing priorities and use strong project management skills to deliver outcomes while maintaining the highest standards of governance and accountability.
