Our client is a leading global professional services firm with a rapidly expanding Australian tax advisory practice and a strong international reputation in transactions, restructuring and corporate advisory.

The firm is seeking an experienced M&A; / Transaction Tax Manager or Senior Manager to join its Sydney team, working alongside senior tax and transaction specialists on acquisitions, disposals, investments and corporate restructures.

The Role

You will play a key role in delivering tax advice throughout the transaction lifecycle, from initial due diligence and structuring through to transaction execution and post-deal integration.

Responsibilities include:

- Leading and managing buy-side and sell-side tax due diligence engagements for corporate and private equity clients
- Identifying and assessing historical tax exposures, transaction risks and potential tax liabilities
- Advising on tax-efficient acquisition, disposal and investment structures
- Providing tax advice on mergers, acquisitions, divestments, joint ventures and corporate reorganisations
- Analysing capital gains tax, tax consolidation, loss utilisation and other transaction-related tax implications
- Reviewing transaction documentation, including sale and purchase agreements, tax warranties,



indemnities and completion mechanisms
- Preparing tax due diligence reports, structuring papers and transaction advice for clients
- Collaborating with corporate finance, financial due diligence, legal and other transaction advisers
- Managing multiple engagements, project budgets and transaction deadlines
- Building relationships with private equity firms, corporate clients, investors and professional advisers
- Supervising and developing junior team members while contributing to business development opportunities

About You

- Experience in M&A; Tax, Transaction Tax or Corporate Tax within a Big 4, mid-tier or specialist advisory practice
- Strong understanding of Australian corporate taxation, particularly as it relates to acquisitions, disposals and restructures
- Previous tax due diligence or transaction structuring experience highly regarded
- Ability to analyse complex tax issues and deliver commercially focused recommendations
- Strong project management, client relationship and communication skills
- Comfortable working in a fast-paced environment with competing transaction deadlines
- CA, CPA or relevant legal qualifications preferred
