We are looking for a legal professional with deep expertise in cross-border project investments, capable of independently serving as the first in-house lawyer in Australia and managing the full lifecycle of development-stage co-investments from term sheet through completion to exit.

Responsibilities

Run co-investments in development-stage renewable energy projects from term sheet to completion, including drafting and negotiating term sheets, share purchase and subscription agreements, shareholders' agreements, co-development agreements and development loan agreements.

Keep each deal on track and manage the obligations that continue after completion; scope and manage legal due diligence by external counsel, and manage foreign investment (FIRB) and other government approvals for our investments with external counsel.

Manage the legal side of each project after investment through to sale, covering land options and leases, grid connection agreements, planning approvals, and the contracts needed to make a project ready to sell.

Instruct external law firms, setting the scope,



agreeing fees and checking invoices; help build our standard documents (term sheets, investment agreements, NDAs, checklists) and the processes our deal team uses.

Qualifications

Core mandatory requirements: Admitted as a lawyer in an Australian state or territory, with around 5–7 years' post-qualification experience gained at a leading Australian or international law firm; in-house experience or a secondment to a client is an advantage.

Have personally run share acquisitions, joint ventures or similar investments, including preparing the first draft, ideally leading the negotiation and managing completion.

Experience in renewable energy or infrastructure, ideally development-stage solar, wind or battery storage projects; experience of foreign investment (FIRB) applications is an advantage.

Transparent, precise written and spoken English; Chinese is an advantage. Organised, independent and practical, comfortable working in a small team across several time zones.
