Our client is a highly regarded Melbourne corporate practice based in the CBD with a strong reputation in private M&A.; It acts for entrepreneurial and high-growth businesses, their founders and investors, and listed and private companies, on investment rounds, private M&A; and exit transactions. The team is partner-led, so junior lawyers work directly with partners and clients rather than through layers of seniority.

Our client is seeking a lawyer with one to three years' post-qualification experience to join its high performing corporate team. This role suits someone who wants genuine responsibility supported by close mentorship from partners and a very collaborative broader team environment. In this role, you will:

- Work on sell-side exits for founder-led technology and software businesses, often sold to strategic trade buyers, from preparing for sale through to completion.
- Draft and negotiate share sale and asset sale agreements, disclosure materials and the ancillary transaction documents.
- Run and coordinate due diligence, and help shape deal structure and commercial terms.
- Act on venture capital and growth investment rounds,



preparing and negotiating the full suite of investment documentation
- Advise high-growth businesses at every stage, from their initial set-up through to capital raising and an eventual sale.
- Work alongside the firm's tax specialists on deal structuring, roll-overs and employee share schemes.
- Handle a broad range of general corporate and commercial matters for private companies, investors and listed clients.
- Deal directly with founders, investors and boards, often as a key day-to-day contact on a transaction.

The ideal candidate will have gained corporate or M&A; experience at a top-tier, international or leading mid-tier firm, together with solid academics from a recognised law school. Candidates with in-house experience may also be considered.

Communication skills of the highest standard are essential to succeed in this role. You will need to draft with precision and clarity, explain complex issues simply, and engage with confidence and good judgement with clients and partners alike. A commercial mindset, sound attention to detail and a team-oriented approach are also important.
