We are seeking an Associate with between 3-5 years’ PQE to join our Brisbane Corporate Advisory team.

Mutual trust and respect are at the heart of everything we do. The Role We are seeking an Associate with between 3-5 years’ PQE to join our Brisbane Corporate Advisory team. This role offers the prospect to work on a broad range of corporate and commercial matters, with a particular focus on M&A; transactions, shareholder arrangements and strategic advisory work across a diverse range of industries and clients, including for technology businesses, founders and investors. You will work closely with clients to deliver practical, commercially focused advice in a fast-paced and evolving industry. The successful candidate will enjoy a high level of responsibility, direct client engagement and exposure to high-quality transactional work. Your

key responsibilities
will include:
• Advising on mergers and acquisitions
• Drafting, reviewing and negotiating transaction documents and a range of commercial agreements, including service, supply and other operational agreements
• Preparing and advising on shareholder agreements and related governance documentation
• Assisting with capital raises,



investments and corporate restructures
• Conducting due diligence and managing transaction workstreams
• Providing strategic legal advice to clients throughout the transaction lifecycle Who We Are Looking For The ideal candidate will have:
• Experience in a reputable corporate and commercial practice, ideally 3-5 PQE, or equivalent in-house experience. Candidates outside this range may also be considered
• Experience drafting and negotiating shareholder agreements and other corporate documents
• Strong technical drafting and transaction management skills
• An interest in, or exposure to, the technology sector
• A commercially minded approach with excellent client relationship skills
