About us: BESS Broadway develops grid-scale battery energy storage (BESS) projects in Australia, the UK, Germany and Japan. We co-invest with developers in projects at an early or mid stage of development, take them to ready-to-build, and sell them.

Core Mission: You will be our first lawyer in Australia. You will run our Australian project investments from term sheet to completion. You will then manage the legal side of each project until it is sold. You will do much of the drafting and negotiation. You will instruct and manage external counsel for due diligence, specialist advice and review.

(BESS Broadway):

- Running our co-investments in development-stage projects from term sheet to completion. This includes drafting and negotiating term sheets, share purchase and subscription agreements, shareholders' agreements, co-development agreements and development loan agreements.
- Keeping each deal on track, and managing the obligations that continue after completion.
- Scoping and managing legal due diligence by external counsel.
- Managing foreign investment (FIRB) and other government approvals for our investments, with external counsel.
- Managing the legal side of each project after we invest, through to sale. This covers land options and leases, grid connection agreements, planning approvals, and the contracts needed to make a project ready to sell.
- Instructing external law firms: setting the scope,

agreeing fees and checking invoices.
- Helping to build our standard documents (term sheets, investment agreements, NDAs, checklists) and the processes our deal team uses.

Key Qualifications and Skills:

- Admitted as a lawyer in an Australian state or territory.
- Around 5–7 years' post-qualification experience, gained at a leading Australian or international law firm. In-house experience, or a secondment to a client, is an advantage.
- You have run share acquisitions, joint ventures or similar investments yourself: you prepared the first draft, ideally led the negotiation and managed completion.
- Experience in renewable energy or infrastructure, ideally development-stage solar, wind or battery storage projects. Experience of foreign investment (FIRB) applications is an advantage.
- Transparent, precise written and spoken English. Chinese is an advantage.
- Organised, independent and practical. You are comfortable working in a small team across several time zones.

What else to know:

- Six months in Hong Kong. The role starts with six months based in our Hong Kong office (expected January to July 2027), so that you learn the business and our processes alongside the team. Your deal work continues from Hong Kong. Accommodation and travel are provided.
- Travel. Occasional travel to project sites, counterparties, Hong Kong and China.
