Greenfields Executive Recruitment & Search is partnering with an established Australian organisation to appoint an experienced Deputy Company Secretary & Corporate Governance Advisor.

This is an opportunity for a corporate lawyer to combine their technical legal expertise with meaningful corporate governance responsibilities in a sophisticated and highly regulated workplace.

Working across both legal and company secretarial functions, you will provide commercially considered legal advice on corporate and regulatory matters, while taking on significant governance responsibilities for the organisation's main ASX-listed Board. The position offers direct exposure to Board members and senior executives, alongside the opportunity to advise on complex legal, regulatory and governance matters..

The role will particularly appeal to a lawyer who enjoys the intersection of corporate law, regulatory compliance and governance, and is looking for a position that offers greater breadth than a traditional legal advisory role.

The role

- Corporate legal matters: Provide high-quality legal advice across corporate law, governance and regulatory matters, including the Corporations Act, directors' duties, conflicts of interest and executive accountability.
- ASX Listing Rules and compliance: Advise on ASX Listing Rules, continuous disclosure and statutory obligations, supporting the organisation in maintaining effective compliance processes and governance standards.
- Board and Committee matters: Provide legal advice to Boards and Committees, supporting the preparation of Board materials, meetings, resolutions and other governance documentation.
- Regulatory engagement: Support regulatory reporting, communications and submissions, working closely with internal stakeholders and relevant regulatory bodies.
- Corporate governance: Contribute to the development and maintenance of governance frameworks, policies and procedures,



including matters relating to executive remuneration and regulatory obligations.
- Business partnering: Collaborate with senior executives, legal, risk and other business functions to provide practical legal solutions, improve governance practices and support informed decision-making.

About you

You will bring at least five years' post-qualification experience, ideally gained within a leading law firm, an established in-house legal function or a combination of both.

Your background will include experience in corporate law, corporate governance, M&A; or a related area, together with a strong understanding of the Corporations Act and a practical knowledge of the ASX Listing Rules.

You will be confident working independently, providing sound legal judgement and communicating complex matters clearly to senior executives, directors and other stakeholders. Strong drafting skills, commercial awareness and the ability to manage competing priorities will be important to your success.

Experience advising ASX-listed organisations, working within financial services or another highly regulated industry, or engaging directly with regulators will be highly regarded.
