JOIN OUR BOARD AND HELP SHAPE THE FUTURE OF EARLY YEARS EDUCATION
Yarra Ranges Kinders (YRK) is seeking two values-aligned volunteer Non-Executive Directors to join our skills-based Board and serve as Treasurer and Company Secretary.
YRK is a not-for-profit Early Years Manager delivering high-quality, community-based kindergarten programs across the Yarra Ranges. As we implement our 2030 Strategy and respond to sector reform, these appointments will strengthen the Board's financial stewardship and governance capability.
Both appointees will contribute as full Board Directors while providing specialist leadership in their respective office-bearer roles. The Board governs collectively, with management responsible for day-to-day operations.
The Opportunities
Treasurer The Treasurer provides independent financial governance leadership and helps the Board understand YRK's financial position, performance, sustainability and material financial risks. Key contributions include:
- Reviewing financial reports, forecasts, cash flow, liquidity, material variances and emerging risks
- Presenting a concise Treasurer report at each Board meeting and supporting informed decisions
- Overseeing the annual budget, external audit, financial statements, internal controls and financial delegations
- Providing insight on major contracts, investments, funding proposals and business cases
We are seeking a senior finance, accounting, audit or commercial leader. A relevant qualification and CA, CPA or equivalent designation is highly desirable. Not-for-profit, government-funded or education experience will be well regarded.
Company Secretary The Company Secretary serves as the Secretary appointed under YRK's Constitution and supports lawful, orderly and well-documented Board decision-making. Key contributions include:
- Working with the Chair and CEO to shape agendas and review Board packs against the forward work plan
- Advising on constitutional and meeting requirements, including notice, quorum, voting, resolutions and conflicts
- Overseeing minutes, governance records, the Register of Members, filings and the annual compliance calendar
- Supporting the AGM, Director eligibility checks, induction, policy review and governance improvement
We are seeking a governance, legal, regulatory or company-secretarial professional with sound judgement, discretion and strong written communication. Incorporated association, charity or education experience is desirable. The Company Secretary must reside in Australia.
What You Will Bring
- An understanding of Directors' duties and the distinction between Board oversight and management
- Strategic thinking, independent judgement and confidence to ask informed questions and constructively challenge
- Integrity, collaboration, confidentiality and a genuine commitment to child safety, inclusion and better outcomes for children and families
Commitment & Expectations
- Volunteer position (non-remunerated)
- Approximately 6–8 Board meetings per year
- Participation in subcommittees and occasional community or strategic events
- Active contribution to governance, strategy and organisational oversight
