K92 Mining Limited are the owners the high-grade Kainantu Gold Mine in Eastern Highlands Province. Since commencing operations in 2016, we have delivered consistent production growth. About the Role The Senior Officer – Contracts provides senior contract drafting, negotiation and project management capability to K92's Contracts function. The role is accountable for taking contracts from scope through to execution in accordance with K92's Contractor Management Framework, master contract templates and Delegation of Authority, ensuring K92's commercial and legal interests are protected and contracts reach approval within business timeframes. The role reports to the Principal – Contracts and works alongside the post-award Contract Management team, so that team can focus on contractor onboarding, compliance and performance.

Key Accountabilities

- Draft, review and negotiate operational contracts and major agreements using K92's master templates and standard attachments.
- Lead commercial and legal negotiations with counterparties, managing departures from K92's standard positions and documenting the risk position of agreed terms.
- Review counterparty and third-party terms, identifying key risk areas such as liability, indemnities, insurance, payment, termination and PNG regulatory requirements, and recommend positions to Contract Owners.
- Prepare bespoke clause drafting where required, including commercial mechanisms,



rate schedules and KPI regimes.
- Identify matters that require legal advice and prepare clear instructions for review.
- Lead the formation of operational contracts end to end, covering scoping, drafting, negotiation and approval.
- Run contract formation processes for operational services from scope development through to award, including issuing contract documents, clarifications and award recommendation.
- Work with Contract Owners to define scope of work, commercial model and contracting strategy before engaging counterparties.
- Prepare contract approval packs and route them for approval in accordance with the K92 Delegation of Authority.
- Ensure probity, transparency and auditable records across all negotiation activity.
- Manage an allocated pipeline of pre-award matters, keeping the contracts register current and reporting progress, risks and expected execution dates to the Principal – Contracts.
- Provide day-to-day contractual advice to Contract Owners and department heads on pre-award matters.
- Build effective working relationships with Operations, Supply, Finance, HR and the Projects team.
- Ensure compliance with K92's Delegation of Authority, procurement policies and Contractor Management Framework across all pre-award work.
- Promote ethical commercial practices consistent with K92's Code of Conduct and Supplier Code of Conduct.
- Maintain accurate, auditable records and data integrity across all contracting activities.
- Participate in internal audits, contract reviews and assurance activities as required.
- Coach Senior Contracts Officers and Contracts Officers on drafting and negotiation through on-the-job review of their work.
- Support the development of national contracts professionals, with a focus on contract formation skills.
- Prior to the end of the fixed term, hand over all open matters with documented status, next steps and key risks so the pipeline continues without disruption.

- Identify gaps in master templates, standard clauses and contract documents and propose improvements to the Principal – Contracts.
- Contribute to standard clause positions and drafting guidance to improve consistency and turnaround time.
- Build understanding of market, legislative and regulatory developments affecting contract terms in PNG.

About You

- Tertiary qualifications in a relevant field i.e. business, legal etc.
- 5+ years relevant experience in contract drafting and negotiation.
- Experience in the mining or resources industry will be highly regarded.
- Demonstrated ability to draft and negotiate complex services and supply contracts from template through to execution with minimal supervision.
- Strong understanding of commercial risk allocation, including liability, indemnities, insurance, liquidated damages and termination, and the ability to explain it plainly to non-commercial stakeholders.
- Experience preparing approval papers within a formal Delegation of Authority framework.
- Demonstrated behaviours consistent with K92 Mining's core values and a strong personal commitment to safety.
- Excellent written communication skills, with the ability to influence stakeholders at multiple levels.
- Proficiency in MS Office suite and Pronto (or similar ERP system).
- Previous experience working in remote or developing regions, particularly Papua New Guinea, will be highly regarded.
