Governance Coordinator | Assistant Company Secretary
Centacare | Brisbane CBD

Good governance doesn't always get noticed. But it makes an enormous difference to how an organisation operates, makes decisions and delivers on its purpose.

At Centacare, our work supports thousands of individuals, children and families across Queensland through aged care, at-home support, early education and community services.
Behind that work sits an important responsibility: ensuring our organisation operates with integrity, accountability and sound governance.

We're looking for a capable, organised and proactive Governance Coordinator / Assistant Company Secretary to join us in a newly created role.

This opportunity will suit someone who enjoys the detail of governance, understands the importance of legislative compliance, and genuinely takes satisfaction in keeping complex processes organised and running smoothly.

The opportunity
Working closely with our governance leadership and key organisational stakeholders, you'll help strengthen the systems, processes and documentation that support effective governance across Centacare.
It's an interesting combination of governance expertise, legislative interpretation, stakeholder engagement and hands-on coordination.
You'll work with Council members, support governance reporting and documentation, and play an important part in ensuring governance obligations are understood and appropriately managed.
We need someone who can see the bigger picture but is equally comfortable rolling up their sleeves, following up outstanding actions and making sure the important details are never overlooked.

What you'll be doing
Working closely with and reporting to the Company Secretary, you will assist in:

- Coordinating the preparation, organisation and distribution of Council and Committee papers, presentations and supporting documentation.
- Establishing, maintaining and improving corporate registers, governance records and associated documentation.
- Supporting the interpretation and practical application of relevant legislation, regulatory requirements and governance policies.
- Monitoring governance actions,

following up outstanding items and helping ensure decisions and commitments are progressed.
- Working collaboratively with senior leaders, Council and Committee members and internal stakeholders to support effective governance processes.
- Governance matters relating to organisational structures, legal entities and regulatory compliance.
- Identifying opportunities to improve governance systems, reporting, recordkeeping and administrative processes.
- Preparing accurate, professional documents, reports and presentations.

What we're looking for
We're particularly interested in someone who combines a sound understanding of governance principles with exceptional organisation and follow-through.
Ideally, you'll bring:

- At least two years' experience supporting Boards, Committees or formal governance functions, ideally in a governance, company secretarial or legal environment.
- A relevant qualification in Law or Governance, ideally through the Governance Institute of Australia.
- A sound understanding of Australian corporate governance principles, relevant legislation and regulatory obligations.
- The confidence to interpret legislation and understand how it translates into governance policies and organisational practices.
- Excellent organisational skills, attention to detail and the ability to manage multiple priorities and deadlines.
- Strong written communication, document preparation and presentation skills, including proficiency in Microsoft Office and PowerPoint.
- A proactive and professional approach to working with senior stakeholders, including the confidence to follow up actions and keep matters moving.
- Good judgement, discretion and an appreciation of confidentiality.

Experience in the not-for-profit sector would be highly regarded, particularly exposure to the Australian Charities and Not-for-profits Commission (ACNC),

charity governance requirements or changes to legal entity structures.
Just as importantly, we'd love to meet someone who genuinely enjoys governance administration. Someone who takes pride in accurate documentation, organised processes and getting things done properly.

Why join Centacare?
An prospect to make the role your own
As a newly created position, you'll have the opportunity to help establish and strengthen important governance processes, including corporate registers and documentation.
Meaningful work, beyond the paperwork

You'll gain exposure to governance activities involving Councils, senior leadership, legislative requirements and organisational structures.
A role where your expertise matters
You'll be trusted to bring your knowledge, initiative and attention to detail to a function that plays an important part in how Centacare operates.

If you enjoy working at the intersection of governance, legislation, organisational processes and people, we'd love to hear from you.
Whether your background is in governance coordination, company secretarial support or legal administration with strong Board and Committee exposure, we'd welcome a conversation.
