KBE Legal Talent has been exclusively briefed to secure a General Counsel and Company Secretary for an ASX-listed resources company and the position sits in the executive leadership team.

This will be a fast-paced high-profile position and as a member of the executive leadership team you will be working directly with the CEO and the Board on a diverse range of legal, projects, M&A;, governance and related commercial matters.

The day-to-day of the role will involve:

- Working directly with and providing strategic legal and commercial advice to the CEO & Board.
- Conducting due diligence and working closely with the CEO to evaluate the financial, operational and legal aspects of potential acquisitions, projects and other corporate transactions.
- Assisting in negotiations and deal structuring to ensure favourable terms and conditions, including managing key stakeholder relationships with JV partners and major suppliers.




- Advising on relevant legal and regulatory frameworks, while contributing to the broader strategic and commercial assessment of transactions.
- Developing a standardised approach to commercial analysis for assessing, managing and delivering transactions across the organisation.
- As Company Secretary you will be the key point of contact for the Board, including overseeing Board and committee processes, presenting to the Board, and advising on corporate governance and ASX-related requirements.

Given the fast-paced nature of this newly created position and the outstanding quality of work on offer, our client is seeking a commercially minded General Counsel/Company Secretary or senior lawyer with a solid background in corporate/M&A; and the mining/resources sector.
