We are working with an ASX-listed resources company who are seeking an experienced Company Secretary to join their team on a permanent basis.

The Opportunity A rare chance to join a prominent resources business at an exciting stage of growth, with a portfolio of large-scale and genuinely interesting projects. You’ll take ownership of the company secretarial function and work closely with the Board and executive leadership team, while enjoying exposure to a broad range of corporate, governance and corporate matters.

Key Responsibilities

- Managing the full company secretarial function, including Board and Committee meetings, agendas, papers and minutes.
- Ensuring compliance with the ASX Listing Rules, Corporations Act and other regulatory requirements.
- Managing continuous disclosure obligations and coordinating ASX announcements.
- Overseeing the annual report, AGM and shareholder communications, and liaising with the share registry.
- Developing, maintaining and enhancing governance frameworks, policies and procedures in line with the ASX Corporate Governance Principles.
- Advising the Board and executive team on governance, risk and compliance matters, and supporting capital raisings, corporate transactions and project milestones.

About You

- An experienced Company Secretary or senior governance professional with ASX-listed company experience, with a legal background in corporate and commercial law.




- Experience in the resources sector or a similar project-driven environment is highly regarded.
- Robust technical knowledge of the ASX Listing Rules, continuous disclosure and corporate governance.
- Confident working with Board members and senior executives, with excellent judgement and attention to detail.
- Governance Institute of Australia (GIA) qualifications or equivalent will be highly regarded.
