Our Client

Our client is a leading global investment bank with operations spanning m&a;, equity capital markets, research, and equities sales & trading. The firm's global legal department operates at the intersection of law, regulation and financial markets. Partnering closely with business leaders and specialist functions on complex transactions and evolving regulatory requirements.

The Prospect

This is a career-enhancing role with the aim to build an Australian legal function from the ground up. You will be senior legal adviser to the local business responsible for corporate governance of the Australian entity.

The role combines the autonomy of a first hire with the backing of a global legal team across multiple jurisdictions with work spanning across transactional, regulatory and commercial matters.

Key responsibilities include

- Advising on m&a; and ecm transactions, including transaction documents, valuation materials and regulatory filings.
- Drafting and negotiating engagement letters, confidentiality agreements, indemnities and commercial contracts.
- Acting as Company Secretary and overseeing statutory and board matters.
- Advising on the Corporations Act,



ASIC requirements and ASX Listing Rules.
- Managing legal, conflicts and litigation risk with global Legal, Compliance and business teams.
- Briefing and managing external counsel.
- Developing precedents, policies and internal training.

About You The opportunity is ideally suited to a commercially-minded Lawyer ready to step into a standalone role.

You will have

- At least five years’ pqe in m&a; or capital markets, gained at a leading law firm or financial institution
- Strong drafting and negotiation skills
- A working knowledge of Australian corporate and financial markets regulation
- Experience or capability in company secretarial work
- The confidence to engage with senior stakeholders and international teams
- An Australian practising certificate or eligibility to practise in Western Australia

Experience in listed-company transactions, conflicts management and/or cross-border M&A; is advantageous.
