About the prospect

Francom Legal is seeking a commercially astute corporate lawyer for a distinctive, high-trust role supporting the CEO of Francom Group, who is also a lawyer. You will advise on strategic agreements and transactions across Francom's Legal, Credit, Finance, Compliance and Franchising solutions. Your work will include vendor and supplier agreements, debt sale and debt purchase agreements, banking arrangements, intellectual property agreements, technology and services contracts, debt recovery and litigation matters, and contract variations, renewals and terminations.

This is not a traditional legal role. You will be a trusted legal partner to the CEO, combining technical expertise with practical commercial judgment, responsiveness and discretion. You will focus on business outcomes, provide clear options and help turn strategic objectives into agreements and strategies that reduce risk, improve efficiency and support sustainable growth. You will also provide oversight and strategic guidance across debt recovery litigation and portfolio management matters.

What you will do

- Work directly with the CEO on priority corporate, commercial and strategic matters, providing timely legal analysis, options and recommendations.
- Draft, review and negotiate vendor, supplier, procurement, outsourcing, consultancy, services, software, SaaS and technology agreements.
- Advise on debt sale, debt purchase, forward-flow, servicing and related portfolio agreements, including warranties, eligibility criteria, pricing, data transfer, assignment, buy-back, recourse, remediation and post-completion obligations.
- Review and negotiate banking and finance agreements, facility documents, security arrangements, guarantees, mandates and other arrangements with banks, financiers and payment providers.
- Prepare and advise on intellectual property licences, assignments, commercialisation arrangements, confidentiality agreements, data-use provisions and ownership of developed materials.
- Advise on the full contract lifecycle, including due diligence, risk allocation, approval, execution, performance monitoring, renewals, variations, extensions, exit planning and recordkeeping.
- Provide clear advice on termination rights, breach, cure periods, suspension, transition assistance, data return or destruction, release arrangements and post-termination obligations.
- Identify and negotiate key commercial provisions, including liability caps, indemnities, warranties, service levels, fees, audit rights, insurance, subcontracting, assignment, exclusivity, restraints and dispute-resolution mechanisms.
- Partner with executive, finance, procurement, technology, information security, privacy, compliance and operational teams to ensure agreements are legally robust and practical to implement.
- Prepare concise legal risk assessments, contract summaries, negotiation positions and recommendations for executive approval.
- Anticipate issues, undertake targeted legal research and prepare briefings, correspondence and decision-ready materials for the CEO.
- Develop and maintain templates, playbooks, clause libraries and contract-governance processes that support consistent and efficient decision-making.
- Manage external legal advisers where specialist input is required and support any contract-related dispute or enforcement matter arising from the advisory portfolio.

- Manage and oversee debt recovery litigation matters, including defended proceedings, enforcement actions, settlement negotiations, insolvency-related recoveries, judgments and post-judgment recovery strategies.
- Advise on debt recovery operations and portfolio management matters, providing strategic legal guidance on recoverability, litigation pathways, enforcement options, regulatory compliance and commercial outcomes.
- Review and manage litigation risk across debt recovery and collections activities, including legal costs exposure, settlement opportunities, evidentiary requirements and recovery prospects.
- Work closely with legal, credit and operational teams to develop and implement effective recovery strategies across consumer and commercial debt portfolios.
- Manage relationships with external solicitors, barristers, process servers, insolvency practitioners and recovery agents to ensure matters are progressed efficiently and aligned with business objectives.
- Advise on bankruptcy, winding-up proceedings, statutory demands, garnishee orders, examinations, warrants and other enforcement and insolvency processes.
- Support the acquisition, servicing and management of debt portfolios by advising on recovery strategies, litigation considerations, assignment rights, compliance obligations and operational risk

About You

- Admitted as an Australian legal practitioner and entitled to hold an appropriate current practising certificate.
- Demonstrated post-admission experience in corporate and commercial advisory work, preferably gained in-house, in a leading commercial practice or across both environments.
- Excellent contract drafting, review, negotiation and interpretation skills across complex business agreements.
- Experience advising on vendor or supplier arrangements, banking or finance contracts, intellectual property or technology agreements, and contract termination.
- Strong commercial judgment and the ability to identify material risks without losing sight of the organisation's strategic and operational objectives.
- Ability to explain complex legal issues clearly and provide decisive, practical recommendations to senior stakeholders.
- Confidence managing concurrent negotiations, priorities, deadlines and internal approval processes.
- Demonstrated discretion, sound judgment and confidence working directly with a CEO or other senior executive on confidential and commercially sensitive matters.
- Excellent written communication, attention to detail and stakeholder-management skills.
- A collaborative, ethical and solutions-focused approach to legal advisory work.
- Demonstrated experience in debt recovery litigation, commercial disputes, enforcement proceedings or insolvency-related recoveries.
- Strong understanding of Australian debt recovery practices, court processes, enforcement mechanisms and regulatory obligations relevant to collections and recoveries.
- Experience managing external legal providers, litigation strategy, settlements and recovery outcomes across consumer or commercial debt portfolios.

Highly Regarded

- Experience with debt sale or debt purchase transactions, receivables portfolios, forward-flow arrangements or financial services.
- Experience negotiating with banks, large corporate vendors, technology providers or other sophisticated counterparties.
- Knowledge of privacy, data security, consumer law, PPSA, outsourcing and regulatory considerations relevant to commercial contracts.
- Experience supporting mergers, acquisitions, corporate structuring, governance or material commercial transactions.
- Experience designing contract templates, approval frameworks, playbooks or lifecycle-management processes.
- Experience within debt purchasing, debt servicing, collections, receivables management or financial services sectors.
- Experience managing high-volume debt recovery litigation programs or complex enforcement matters across consumer and commercial portfolios.
- Knowledge of the National Credit Code, Australian Consumer Law, Privacy Act, insolvency legislation and regulatory requirements relevant to debt recovery and collections.
- Experience developing litigation-management frameworks, panel solicitor arrangements, recovery governance processes or portfolio performance reporting.
