Role Summary
n
nWe are currently recruiting for an experienced Company Secretary for the Asia Pacific region within Northern Trust's International Legal Department. The role can be based in our Melbourne or Sydney offices and will enjoy significant autonomy and flexibility with a focus on outcomes rather than time spent at the desk.n
nThis is a key governance role to support and oversee Corporate Secretarial services for all of Northern Trust's legal entities across Asia Pacific (APAC).n
nThe role will report into the General Counsel, APAC who is based in Melbourne.n
What you will do
n
Oversight of Legal Entity Governance Across APAC
n
n• Oversee the company secretarial function for NT legal entities and branches located in the following APAC locations: Australia, China, Hong Kong, India, Japan, Philippines and Singaporen
n• Maintain and enhance a common set of corporate secretarial practices, procedures and standards across APACn
n• Share know-how, training and best practice across the regionn
n• Work collaboratively with other Company Secretarial colleagues in the US and EMEAn
Board and Stakeholder Relationship Management
n
n• Principal point of contact for Boards and other senior functional and business unit executivesn
n• Collaborating with Legal Department colleagues and where needed external counsel / corporate secretarial service providersn
n• Liaising with the internal audit, external auditors, and other key stakeholdersn
Board Meetings
n
n• Oversee the production of board packs for meetings and agree the board meeting timetables each yearn
n• Oversee the maintenance of the master governance calendarn
n• Attend Board and Committee meetings and ensure production of full minutesn
Corporate Governance guidance
n
n• Undertake reviews of the Board against the latest corporate governance guidance and complete annual self-assessments for the Boardn
n• Monitor changes to and provide guidance on corporate law regulatory reporting and compliance n multiple jurisdictionsn
n• Review policies and procedures and terms of reference for the Boardsn
n• Develop and help the Legal Department to evolve and share resources and identify efficienciesn
Other
n
n• Assisting in information requests to regulators and external advisorsn
n• Providing input in respect of legal entity change and any M&A; projects impacting NT legal entities in APACn
n• Maintain bank mandates and/or authorised signatory lists as requiredn
n• Support MLRO requests for corporate informationn
n•Maintain statutory records and ensure timely filing of statutory returns, financial statements and other statutory lodgments with regulatorsn
About You
n
n• Qualified corporate secretary and/or solicitorn
n• 10+ years' experience in company secretarial work preferably with a large, Australian regulated financial services firmn
n• Robust knowledge of Australian corporations law,
corporate governance and applicable financial regulationsn
n• Experience and/or exposure to company law and governance in China, Hong Kong, India, Japan, Philippines and Singapore would be highly valuedn
n• Excellent communication and interpersonal skills with the ability to engage and influence stakeholders from the first and second line of defence and at various levels across the firmn
n• Experience in managing corporate secretarial service providers in foreign jurisdictionsn
n• Organised with strong time management skills, accuracy and attention to detailn
n• Computer literate, particularly with Microsoft Office programsn
