An excellent opportunity has arisen for an experienced Company Secretary to join a specialist corporate governance business and take responsibility for a diverse portfolio of listed and unlisted Australian clients.
This is a genuinely broad Company Secretarial position offering significantly more variety than a traditional single-company role. You will act as a registered Company Secretary for clients, work directly with Boards and Chairs, manage ASX and ASIC obligations, and advise organisations on governance matters and corporate transactions.

The business works closely with Boards, Chairs and senior executives, providing practical advice and hands-on support across corporate governance, ASX and ASIC compliance, Board and committee processes, shareholder matters and corporate transactions.
With an experienced team and varied client portfolio, the organisation provides an excellent environment for Company Secretarial professionals seeking broader exposure, greater client interaction and more variety than is typically available within a single corporate environment.
The Opportunity:
Working as part of an experienced and collaborative team, you will become a trusted governance adviser to a portfolio of clients across the Australian market.
Your responsibilities will include managing Board and committee processes from end to end, advising on corporate governance requirements, overseeing regulatory obligations and supporting clients through significant corporate events.
The breadth of the portfolio means you could be advising a Board on governance matters, preparing an ASX announcement, managing regulatory lodgements and supporting a corporate transaction or shareholder meeting – all within the same role.
Key responsibilities will include:
Acting as registered Company Secretary for a portfolio of listed and unlisted clients
Managing ASX, ASIC and ACNC reporting and compliance requirements
Drafting and lodging ASX announcements and other market disclosures
Managing Board, committee and general meetings, including direct liaison with Chairs
Preparing agendas, Board papers, minutes and circular resolutions
Advising clients and Directors on corporate governance requirements and best practice
Preparing notices of meeting and coordinating shareholder meetings
Supporting share issues, employee share plans, options and other corporate transactions
Supporting IPO processes, including prospectuses and offer documentation
Maintaining governance policies, registers and corporate records
Liaising with share registries, auditors, external lawyers, regulators and other advisers




Providing leadership and supervision to team members
Contributing to the continued development and digitisation of governance processes and systems

About You:
This role requires someone with substantive Australian Company Secretarial experience. Given the technical requirements of the position, candidates must have relevant Australian experience and a strong working knowledge of the Australian corporate and regulatory workplace.
Ideally, you will bring:
5+ years' Australian experience in Company Secretary or Assistant Company Secretary positions
Extensive knowledge of the Corporations Act **** (Cth)
Strong practical experience managing ASIC requirements
Extensive knowledge of the ASX Listing Rules and experience managing ASX regulatory obligations
Experience supporting Boards and committees, including high-quality minute taking and Board paper preparation
A law, business, finance or other relevant degree
Chartered Secretary status and/or the Governance Institute of Australia's Graduate Diploma of Applied Corporate Governance and Risk Management, or progress towards it, will be highly regarded
Excellent written communication and stakeholder-management skills
The confidence to work directly with Boards, Directors, senior executives and external advisers
Strong attention to detail, judgement and discretion
