Team Leader Governance

Organisational Context
east Victoria across an area of 20,000 square kilometres. The service delivery area is bound by Corryong, Yarrawonga,
Benalla and Dartmouth. We operate 21 water treatment facilities and 22 wastewater treatment plants that service most
towns across the region. Over 200 full time equivalent staff are employed at our centres in Wodonga, Wangaratta, Benalla,
Yarrawonga, Corryong, Beechworth, Mount Beauty and Myrtleford.
Our operations are overseen by the Department of Energy, Environment and Climate Action (DEECA) on behalf of the
Minister for Water, and the Department of Treasury and Finance (DTF) on behalf of the Treasurer. We continue to invest in
creative and long-term capital projects which contribute to the health and well-being of current and future generations.

Position Objectives
The Team Leader Governance:
- Leads and supervises the Governance team.
- Leads and provides direction for the operation of the governance function in accordance with relevant legislation in
an effective, efficient, and innovative manner.
- Leads the operation, development and continuous improvement of
framework, systems, policies and standards.
- Leads the preparation and coordination of high-quality Board and committee materials and acts as the central
liaison between Directors, Executive Management and employees.
- Interpret and apply relevant legislation, government policy, regulatory obligations and governance standards to
- Manages / coordinates and responds to freedom of information requests and privacy breaches and enquiries,
ensuring legislative obligations are met.
- Provides leadership and support in the training and development of
principles and procedures.
Key Responsibility Areas
- Providing leadership of the governance function, ensuring compliance with relevant legislation and
regulatory obligations.
- Oversee the annual board and committee calendar and the quality, timeliness and governance integrity
of agendas, papers, minutes, resolutions and action tracking, ensuring the board fulfils its duties as set
out in the Board Charter.
- Attending board and committee meetings to accurately record and promptly circulate minutes, actions
and resolutions, as required.
- Lead the preparation and execution of Board and Committee official business engagements including
attendance at conferences, partner engagements and professional development opportunities, and any
other support required for directors.
- Developing and overseeing director inductions.
- Leading the development, implementation, and review of policies, procedures, and other guidelines
relevant to the corporate governance function of the Corporation.
- Overseeing and maintaining corporate governance registers including conflicts of interest, gifts, benefits
and hospitality and annual declarations.
- Providing support and strategic advice to the Manager Governance, Risk & Communications and other
stakeholders on governance matters, ensuring compliance with legislative requirements (e.g. Water Act
1989 and Corporations Act).
- Developing and delivering training programs and information sessions to enable staff to meet their
governance responsibilities effectively.
- Oversight of the instrument of delegation and ensuring that officers are aware of their powers and duties
through ongoing and routine training and education across the organisation.
- Oversight of the Internal Audit function including follow up of internal audit recommendations with
relevant staff.
- Oversight of
adoption of policies and procedures, to ensure organisational compliance with relevant legislation and
regulations.
- Processing requests made under the Freedom of Information Act 1982 and Privacy and Data Protection
Act 2014 within statutory timeframes.
- Assisting the Manager Governance, Risk & Communications with the management of individual legal
engagements via the Victorian Government Legal Services Panel, including government reporting.
- Administration of the online Board portal.
- Identifying and implementing improvements to Board governance and integrity processes and systems,
leveraging technology and best practice.
- Providing advice and guidance to all business units on corporate governance principles including conflicts of
interest, gifts, benefits and hospitality, freedom of information and privacy matters.
- Carrying out any other duties as directed.
Organisational Relationships
This role reports to the Manager Governance, Risk & Communications and supervises the Governance Officer. The Team
Leader Governance is a key liaison between the Corporation’s Directors, Executive Management and staff. This role liaises
with all internal stakeholders, peers in water corporations or local government, government agencies and members of the
public.
Accountability and Extent of Authority
- Accountable to the Manager Governance, Risk & Communications with a robust link to all internal business units.
- Freedom to act is set by policies and objectives and actions taken may have a significant impact upon the
Corporation.
- Responsible for the provision of a high level of internal and external customer service, assistance, support, and
training for staff in the operations of the Corporation’s Governance function.
- Accountable for the timely and efficient recording and distribution of documentation to appropriate staff within the
organisation.
- Responsible for maintaining security and confidentiality of all documentation and customer privacy.

- The ability to make independent decisions on work priorities and actions undertaken in accordance with
established policies, procedures, and legislation.

- Guidance is not always available within the Corporation.
Specialist skills and knowledge
- Demonstrated knowledge of principles and practices of corporate governance.
- Demonstrated knowledge and application of the relevant legislation including the Water Act 1989, Freedom of
Information Act 1982 and the Privacy and Data Protection Act 2014.
- Demonstrated ability to undertake and coordinate activities, procedures and documentation required to achieve
good governance practices across an organisation, ideally within a regulated setting.
- Experience in minute taking in a corporate board environment.
- Excellent organisational, interpersonal and communication skills.
- Excellent written and verbal communication skills, including the ability to produce high-quality board papers for
board and executive level audiences.
- Excellent computer skills and knowledge of the Microsoft Suite of products.
- Demonstrated ability to effectively use computer software and systems including agenda and minutes management
systems, Microsoft Office suite of programs and electronic document management systems.
- Extensive experience in governance including board meeting procedures and protocols.
- Experience in procedure writing and training manuals.
- Understanding of the legal, socio-economic, and political context in which the organisation operates.

Qualifications and Experience
- Degree or diploma with relevant experience in a similar role, or alternatively lesser formal qualifications with
extensive experience in delivering an effective governance function in an organisation.
- Extensive experience in governance and board/committee functions, preferably within the Victorian public sector.
- Experience in supervising and training staff.
