Volunteer Company Secretary - Team Jacob Charitable Enterprises Ltd

Team Jacob Charitable Enterprises Ltd is a registered charity with the Australian Charities and Not-for-profits Commission (ACNC). Our purpose is to advance education, employment, health and wellbeing for families challenged with autism through fundraising.

We are a volunteer-led organisation that brings people together through fundraising events and community partnerships to create opportunities and improve outcomes for young people and families impacted by autism.

As part of our Board Renewal Process, and to broaden the diversity of skills and experience represented on our Board, we are seeking a volunteer to serve as Company Secretary.

We are particularly interested in hearing from someone with a legal background, ideally with previous Company Secretary, governance, Board or not-for-profit experience.

The opportunity

Working closely with the Chair and fellow Directors, the Company Secretary will play an significant role in supporting effective governance and ensuring Team Jacob continues to meet its constitutional and regulatory responsibilities.

Key responsibilities will include

- Advising and supporting the Board on governance, constitutional and regulatory requirements.
- Coordinating Board meetings, agendas, papers, minutes, resolutions and follow-up actions.
- Coordinating the AGM and associated governance and reporting requirements.
- Maintaining statutory and governance records, including registers of members, Responsible People and conflicts of interest.
- Supporting Team Jacob's compliance and reporting obligations with the ACNC and other relevant regulators.
- Maintaining the Constitution,



governance policies and key corporate records.
- Supporting Board induction, declarations, director terms and succession processes.
- Working closely with the Chair to promote sound governance, ethical decision-making and effective Board processes.

The role also acts as an important point of liaison with regulators and helps ensure the Board has ready access to its policies, minutes, Constitution and other governance documentation.

About you

We are looking for someone who can bring sound judgement, a collaborative approach and a genuine interest in contributing their skills to a community organisation.

Ideally, you will have a legal background and experience or a strong understanding of corporate governance and Board processes. Previous experience as a Company Secretary, Director or governance professional would be highly regarded, as would experience in the charity or not-for-profit sector.

Most importantly, you will share our commitment to good governance and to supporting Team Jacob's purpose.
