Deputy Company Secretary – Top 200 ASX Listed

Our client is an established ASX-listed organisation seeking a Deputy Company Secretary to support its corporate governance and company secretarial functions. Reporting to the General Counsel & Company Secretary, the role will provide advice and support to the Board and Directors and assist with the development and implementation of governance frameworks.

Key Responsibilities
- Support the General Counsel & Company Secretary in coordinating Board meetings, including attending meetings and preparing minutes.
- Manage end-to-end Board processes, including meeting schedules, Board papers and electronic Board management systems.
- Provide advice on corporate governance matters and support the implementation of the organisation’s governance framework.
- Support compliance with the Corporations Act, ASX Listing Rules and other applicable legislation.
- Coordinate the preparation of the Annual Report, ensuring relevant legal and governance requirements are met.
- Coordinate the Annual General Meeting and other shareholder meetings as required.
- Maintain Board and committee charters, governance policies and associated registers.
- Manage company secretarial requirements for subsidiaries, including statutory reporting obligations and meeting administration.
- Oversee share registry matters and support corporate actions, including dividend payments, capital management initiatives and employee share plans.
- Coordinate external audit requests relating to minutes and statutory records.
- Manage the release of approved market announcements and assist with drafting routine announcements in line with continuous disclosure requirements.
- Manage regulatory lodgements and notifications, including those required by ASIC.

Essential Qualifications & Experience
- Relevant tertiary qualifications.
- Governance qualifications and membership of the Governance Institute of Australia.
- At least seven years’ company secretarial experience within an ASX-listed environment.
- Strong knowledge of company secretarial practices, ASX Listing Rules and the ASX Corporate Governance Council’s Principles and Recommendations.
- Demonstrated ability to provide commercially focused governance advice and support.
- Excellent communication, interpersonal and drafting skills.
- Strong attention to detail, organisational skills and the ability to manage competing priorities with minimal supervision.
- A methodical approach and a high standard of integrity and professional ethics.
