An established professional services organisation is seeking a senior corporate governance leader to drive the growth and success of its governance and company secretariat offering. This is a rare opportunity to combine strategic leadership, business development and hands-on company secretarial expertise within a highly respected national team.

Working closely with senior leadership, you will lead a team of governance professionals while acting as a trusted adviser to boards, executives and listed company stakeholders.

The Opportunity

As the Head of Governance & Company Secretariat , you will be responsible for the strategic direction, operational performance and continued growth of a specialist governance practice.

You will lead a team delivering high-quality company secretarial and governance services to a portfolio of listed organisations, while also maintaining direct involvement with key client relationships and complex governance matters.

Key Responsibilities

- Lead and grow a specialist governance and company secretariat practice across Australia.
- Develop new business opportunities and strengthen referral networks across legal, accounting and advisory channels.
- Advise boards and senior executives on corporate governance and regulatory obligations.
- Oversee continuous disclosure requirements and governance matters relating to ASX-listed entities.
- Attend board and committee meetings and prepare high-quality minutes, resolutions and governance documentation.
- Support annual general meetings, board processes and shareholder engagement activities.
- Drive operational excellence, process improvement and technology adoption across the practice.
- Manage financial performance, budgeting, forecasting and commercial outcomes.
- Lead, mentor and develop a high-performing team of governance professionals.

About You To be successful in this role, you will bring:

- Extensive experience as a Company Secretary,



Senior Company Secretary or corporate governance adviser supporting listed entities.
- Deep knowledge of ASX Listing Rules, the Corporations Act and Australian corporate governance frameworks.
- Significant experience advising boards, board committees and executive leadership teams.
- Demonstrated success leading and developing high-performing teams.
- Strong commercial acumen with exposure to business development, client relationship management and practice growth.
- Exceptional stakeholder management and communication skills.
- A strategic mindset combined with a practical, hands-on approach.
- Relevant qualifications in Law, Commerce, Governance or a related discipline.
- Governance Institute of Australia membership or equivalent professional accreditation will be highly regarded.
