Our client is an established financial services business in a strong growth phase. They are adding a Transactions Counsel to their deal team. It is a new role for a finance lawyer who wants to work commercially and see deals through from first draft to funding.
You will be the deal team's go-to person for documentation. You will work closely with investment professionals, in-house lawyers and panel firms to get transactions negotiated, signed and closed.
What you'll do
- Draft and negotiate the full suite of deal documents, from confidentiality agreements and heads of terms through to trust, facility and security documentation
- Review opinions from external counsel and coordinate due diligence through to sign-off
- Take the lead on legal and documentation matters for live transactions, working directly with counterparties
- Work across a diverse book, including property, private debt, corporate lending, asset-backed finance and hybrid investment structures
- Brief and manage panel firms efficiently to keep risk and legal spend under control
- Work with operations teams so deals are booked and settled cleanly once they close
- Make sure the final documents capture the agreed commercial outcome for all stakeholders
What you'll bring
- Admitted lawyer with banking and finance or funds experience, gained in private practice or in-house within financial services
- Sound working knowledge of corporate and property lending, plus securitisation or other asset-backed structures
- Commercial judgement and the confidence to run negotiations directly
- Excellent organisational skills and close attention to detail across several live deals at once
- A proactive, accountable approach, equally effective working on your own or in a team
- Further qualifications in law or finance will be well regarded
