The Opportunity

Farmanco Management Consultants is seeking to appoint its first independent Non-Executive Director as part of the evolution of its Board structure and governance. This appointment comes at an important stage in Farmanco's development. With an established national presence and strong capability across agricultural consulting and professional services, Farmanco is pursuing a growth strategy focused on diversifying revenue, strengthening long-term business value and enhancing service delivery.

Working alongside Farmanco's owner-directors, the Non-Executive Director will bring independent judgement, commercial perspective and contemporary governance experience to the Board, contributing to Farmanco's strategic direction and supporting the business through its next phase of sustainable growth.

We are particularly interested in candidates who have experience navigating business growth and organisational change and who can combine sound governance judgement with a pragmatic and commercially focused approach.

Board Composition

Farmanco is owned by 12 Principals and is currently governed by a Board comprising three Principal directors. As part of the evolution of its governance structure, Farmanco intends to transition to a Board comprising two Principal directors and one independent Non-Executive Director.

This will be Farmanco's first independent Non-Executive Director appointment and represents an important step in broadening the skills, experience and external perspective available to the Board.

The Role

The Non-Executive Director will complement the experience of Farmanco's owner-directors and bring an independent perspective to Board deliberations and decision-making. The successful candidate will contribute strategic and commercial insight, constructive challenge and strong governance judgement as Farmanco pursues its growth and diversification strategy.

Importantly,



the successful candidate will understand and respect the dynamics of an owner-operated professional services business and have the interpersonal capability to constructively challenge, influence and support fellow directors while respecting Farmanco's culture, history and values.

Key Responsibilities

The Non-Executive Director will:

- Bring independent and objective judgement to Board deliberations and decision-making.
- Contribute to the development and oversight of Farmanco's strategic direction and long-term business objectives.
- Provide constructive challenge and strategic insight in relation to Farmanco's growth and diversification strategy.
- Support effective Board oversight of financial performance, risk management, governance and organisational capability.
- Contribute experience and external perspectives relevant to business growth, professional services and/or agribusiness.
- Assist the Board to identify and critically evaluate strategic opportunities, risks and investment decisions.
- Provide insight into ownership, succession and capital structure matters as required.
- Contribute to the ongoing development of Board effectiveness and governance maturity.
- Uphold high standards of integrity, confidentiality, accountability and corporate governance.

Skills and Experience

The ideal candidate will demonstrate:
- Governance and risk: Strong capability in governance, risk management and regulatory compliance, together with the judgement required to operate effectively at Board level.
- Commercial and financial acumen: Strong commercial awareness and the ability to critically assess financial performance, investment decisions, business risks and opportunities.
- Growth and scaling: Demonstrated experience supporting a business through significant growth, with an understanding of the strategic, commercial and organisational challenges associated with scaling a business.
- Strategic growth and business development: Experience contributing to business growth strategy, including identifying and evaluating recent markets, services, partnerships and other commercial opportunities.
- Strategic judgement: The ability to take a whole-of-business perspective, constructively challenge assumptions and contribute independent thinking to complex strategic decisions.
- Board effectiveness: A collaborative and constructive style, with the confidence to appropriately challenge while building effective relationships with fellow directors, owners and management.
- Governance capability: Graduate of the Australian Institute of Company Directors, or an equivalent governance qualification.

Additional experience

Experience in one or more of the following areas would be highly regarded:




- professional services;
- agribusiness or agriculture;
- marketing, brand and client strategy;
- technology and digital transformation;
- organisational development, change or transformation;
- business growth and diversification; and
- ownership, succession or capital structure matters.

Prior Board experience will be highly regarded. However, Farmanco also welcomes applications from suitably qualified emerging Non-Executive Directors who can demonstrate the strategic, commercial and governance capability required for the role.

Director Expectations

The successful candidate will be expected to fulfil the duties and responsibilities of a director and actively contribute to the effective governance of Farmanco. This includes acting in the best interests of the company, exercising independent judgement, maintaining appropriate confidentiality, managing conflicts of interest and contributing constructively to Board deliberations.

The Non-Executive Director will be expected to prepare appropriately for meetings, actively participate in Board discussions and make a meaningful contribution to Farmanco's strategic direction and governance.

Time Commitment

The Farmanco Board currently meets 11 times per year, generally on the second Friday of each month. Meetings are approximately four hours in duration and are held in Perth, with in-person attendance preferred. In addition, the Non-Executive Director will be expected to:

- allow reasonable preparation time for Board meetings;
- participate in Farmanco's annual strategy workshop;
- attend one Principal meeting each year; and
- be available on an occasional basis for Board-related matters outside scheduled meetings.

Term

The initial appointment will be for a term of three years, subject to the Company’s Constitution and applicable law.

Remuneration

A Director's fee will be paid, commensurate with the responsibilities of the role and expected time commitment.
