The Opportunity

We have an prospect for an experienced Associate to join our Corporate & Commercial Division working with leading Principals on a broad range of transactions across commercial, property and franchising matters.

The Role In this role you will bring a unique blend of commercial, property, franchising and finance expertise having acted across a broad spectrum of transactions for corporate clients, trustee companies, lenders, business owners, landlords, tenants, franchisors and franchisees.

Key Responsibilities

- Drafting, reviewing and negotiating a range of commercial agreements including service agreements, NDAs, distribution agreements, licensing agreements and shareholders agreements
- Acting on the acquisition and disposal of businesses including both asset and share sale transactions including reviewing and negotiating contracts and providing advice on duty, GST and CGT implications
- Managing due diligence processes and advising clients on transaction structures, regulatory requirements and commercial risks
- Acting in commercial, rural and residential conveyancing matters for both vendor and purchaser
- Drafting, reviewing and negotiating commercial leases, agreements for lease, put and call option agreements, property sale and purchase contracts
- Advising franchisors and franchisees on compliance with franchising legislation and regulatory obligations
- Drafting and reviewing franchise documentation
- Preparing and negotiating loan and security documentation
- Assisting with financing arrangements involving property and business assets

About You The ideal candidate will have:

- 3+ years’ post admission experience




- Demonstrated experience advising a diverse client base on complex commercial transactions and delivering practical, client-focused outcomes
- Demonstrated ability to manage client relationships and work collaboratively with other solicitors and support staff
- Strong attention to detail and commitment to delivering high quality work
