Legal Counsel — Commercial FinanceSydney (North Shore) · Hybrid · Full-timeWe're a non-bank lender providing invoice finance, supply chain finance and business loans to Australian SMEs. Small team, direct decision-making, real commercial exposure — the opposite of a large corporate legal function.This is our first dedicated in-house legal role. You'll own the legal function end to end and work directly with the Director.

What you'll do

Draft, review and improve facility documentation across invoice finance, supply chain finance and secured business loans

Manage the security position — GSAs, PPSR registrations and verification, guarantees, caveats, mortgages and priority arrangements

Run recovery and enforcement: demands, security enforcement, guarantor recovery, and instructing external counsel on litigated matters

Protect our position in insolvency — voluntary administrations, liquidations, proofs of debt, secured creditor strategy and DOCA analysis

Support our funding structure — warehouse and noteholder documentation, covenant and reporting obligations





Sit alongside credit on transaction structuring, so deals are papered right the first time

Keep compliance current across AML/CTF, privacy and contract governance

What you'll bring

4–6 years' post-admission experience in banking and finance, restructuring and insolvency, or commercial litigation

Practical PPSA capability — not theoretical. You've registered, verified, and enforced

Current NSW practising certificate

Commercial judgment. You can tell the difference between a risk worth papering and a risk worth pricing

Comfort operating without a legal team around you
