Narungga Nation Aboriginal Corporation (NNAC) is the Registered Native Title Body Corporate for the Narungga people of Guuranda (Yorke Peninsula), South Australia. As the peak body for the Nation, NNAC leads work across governance, economic development, cultural heritage, and land and sea management. NNAC works to protect and advance Narungga rights and interests, guided by the Narungga Declaration and the values and expectations of the Narungga community.
NNAC is seeking an experienced, highly organised governance professional to support informed, transparent and culturally respectful Board decision-making and accountability to members and community.
About the Role
Reporting to the Chairperson on behalf of the Board, with day-to-day liaison through the Chief Executive Officer, this principal position performs its statutory and governance duties independently and impartially, including the duties of Secretary under the NNAC Rule Book.
Key Accountabilities
- Ensure compliance with the CATSI Act, NNAC Rule Book and ORIC and ACNC requirements, including timely statutory lodgements.
- Coordinate Board, General and community meetings, including notices, agendas and Board papers, within statutory timeframes.
- Record accurate, culturally respectful minutes, advise the Chairperson on procedure, and track Board resolutions.
- Maintain statutory registers, including the Registers of Members and Common Law Holders, and hold custody of the Corporation’s seal.
- Manage AGM processes, including director elections and auditor engagement, and maintain a 12-month governance calendar.
- Uphold the Narungga Declaration in Native Title decision-making, and liaise with regulators, auditors, legal advisors and members.
About You
We are seeking a down-to-earth communicator with a sharp eye for detail, who builds genuine relationships and understands the respective roles of the Board, Chairperson and Executive. You will bring:
- Demonstrated experience in governance, board administration or corporate compliance, gained in a legal, government, corporate or not-for-profit setting.
- Excellent written and verbal communication skills, including minute-taking and Board papers.
- The ability to interpret legislation and governance documents and give sound procedural advice.
- Strong organisational skills, discretion and ethical judgement.
- Respect for Narungga culture and values, and a commitment to culturally protected governance.
- A current driver’s licence, a National Police Check (or willingness to obtain one) and willingness to travel regionally.
- Relevant qualifications in governance, business administration, law or equivalent experience are desirable.
