A leading global law firm is seeking a Mid-Senior Level Associate with strong corporate M&A; experience for its New York City office location. The ideal candidate will have 4–8 years of experience handling corporate transactions.

This prospect offers the chance to work on sophisticated domestic and cross-border transactions for leading public and private companies, private equity sponsors, and other strategic investors. The team is consistently involved in high-profile mergers, acquisitions, dispositions, joint ventures, and other transformative transactions across a broad range of industries.

The ideal candidate will have strong transactional experience, excellent drafting and negotiation skills, and the ability to take on significant responsibility in a client-facing role.

Responsibilities
n
n
Advise clients on a wide variety of corporate transactions, including:
n
Mergers and acquisitions
n
Asset and stock purchases
n




Private company transactions
n
Joint ventures and strategic alliances
n
Venture capital and growth equity investments
n
Draft, review, and negotiate principal transaction documents and ancillary agreements
n
Lead and manage due diligence processes and transaction execution
n
Coordinate transaction logistics through signing and closing
n
Identify and communicate key deal issues to clients and deal teams
n
Work directly with clients, opposing counsel, and other advisors throughout the transaction lifecycle
n
Mentor junior associates and contribute to team development
n

Requirements:

Outstanding academic credentials
n
Prior experience at a top law firm
n
Barred or able to become barred to practice law in the state of New York
