Job Description

Develop and execute the group's capital strategy — the optimal mix of debt and equity to fund mining operations, capital projects and acquisitions.
n
Originate, structure, negotiate and close debt facilities (project finance, corporate debt, secured and structured facilities) and equity or hybrid raisings, managing relationships with banks, syndicated lenders, institutional investors and capital partners.
n
Direct treasury operations, including liquidity and cash-flow management, covenant compliance, hedging and interest-rate risk, and banking relationships.
n
Lead the preparation of information memoranda, term sheets, lender presentations and financing proposals.
n
Direct the financial modelling, underwriting and valuation of major investments, capital projects, acquisitions and divestments, including sensitivity, scenario and stress-scenario analysis.
n
Provide the Board, CEO and CFO with rigorous investment analysis, feasibility assessment and recommendations, including risk and return, funding structure and value-creation levers.

Establish and maintain the group's investment appraisal frameworks, hurdle rates and capital-allocation policies.

Mergers, acquisitions & commercial transactions

n
Lead the financial and commercial workstreams of M&A;, joint ventures, farm-ins/farm-outs and asset transactions — from origination and due diligence through negotiation to completion and integration.

Manage transaction due diligence and coordinate external advisers (legal, tax, technical, valuation).
n
Evaluate the credit strength, financial exposure and contingent liabilities of counterparties and transactions.

Property, land & asset portfolio
n
n
Oversee the financial and commercial management of the group's property, land-holding and tenement-related interests, including acquisition and disposal economics, leasing arrangements and portfolio strategy.
n
Assess the value, exposure and optimal use of real-property and infrastructure assets across the portfolio.
n

Financial governance & reporting
n
n
Ensure corporate-finance activities comply with statutory, tax, accounting and covenant requirements, and with the company's governance and delegation frameworks.
n
Contribute to budgeting, forecasting and the integrity of financial and management reporting relevant to capital and investment decisions.
n
Support the audit process and maintain robust internal controls over corporate-finance processes.
n
Lead, develop and manage the corporate-finance team, setting objectives and building capability.
n
Act as a trusted adviser to the executive and Board, and represent the company with financiers, investors, advisers and regulators.
n
Contribute as a member of the senior leadership team to overall business strategy and performance.
