Hays is partnering with a well-established, values-driven not-for-profit organisation seeking an experienced Company Secretary to provide high-level governance support to its Board and Committees. This will be for an initial 4-week temporary contract with the opportunity to extend for several months. This organisation plays a significant role in delivering essential services to the Western Australian community and is committed to strong governance, integrity and organisational excellence.
This opportunity offers a chance to work closely with an engaged Board and executive leadership team, supporting strategic decision-making and ensuring compliance with a complex regulatory environment.
Your new role
Reporting directly to the Board Chair, you will act as the principal governance adviser to the Board, providing professional guidance on governance obligations, regulatory compliance, risk management and board performance. You will be responsible for coordinating Board and Committee activities, preparing agendas and papers, attending meetings, recording accurate minutes and monitoring action items to ensure effective governance outcomes. The role also plays a key part in maintaining compliance registers, coordinating audit activities and promoting governance best practice across the organisation.
What you'll need to succeed To be successful,
you will bring extensive governance experience and a strong understanding of corporate secretariat functions within complex organisations.
You will demonstrate
- Previous experience as a Company Secretary or Senior Governance Professional
- Strong knowledge of corporate governance frameworks and regulatory compliance
- Experience supporting Boards and Board Committees
- Proven track record advising Boards on governance, risk and compliance matters
- Exceptional minute-taking, report writing and stakeholder engagement skills
- Ability to interpret legislation and provide practical governance advice
- Experience maintaining governance registers, policies and compliance frameworks
- Robust organisational skills with the ability to manage competing priorities
- High levels of professionalism, integrity and confidentiality
- Relevant governance, legal, company secretarial or related qualifications
