Rox Resources Limited (ASX: RXL) is transitioning from explorer to producer and our Youanmi Gold Project is gaining attention as one of Western Australia’s emerging high-grade gold developments.

The Project is advancing rapidly following completion of our Definitive Feasibility Study (DFS), successful equity funding and first underground portal fired in late 2025. Youanmi is fully funded through to production, with first gold to be poured in mid-2027.

As our General Counsel & Company Secretary, you will establish and lead Rox's in-house legal function, developing the systems, processes and frameworks that support effective legal risk management. As a trusted adviser to the Board and Executive team, you will also oversee governance activities and ensure compliance with statutory, regulatory and corporate obligations.

ABOUT THE ROLE

Reporting directly to the Managing Director, this position is ideal for an accomplished legal leader with experience across legal, governance and company secretarial functions, together with expertise in commercial transactions, contracts, business development and mergers & acquisitions. As our General Counsel & Company Secretary, you will:

- Develop and lead our legal function and provide strategic legal advice across the business.
- Act as a trusted adviser on complex legal, regulatory and commercial matters.
- Manage significant disputes and other corporate legal matters.
- Liaise with external legal advisers and ensure external counsel is used effectively if required.
- Provide advice and support to senior management on strategic initiatives and organisational change.
- Provide guidance to Directors in relation to the requirements of the Corporations Act, the Company’s Constitution, the ASX Listing Rules, corporate governance and monitor the Company’s compliance with these requirements.
- Manage and coordinate monthly board meetings and annual general meetings (ensure minutes, agenda's, notices, board papers etc are compliant).
- Provide advice on mergers,



acquisitions and business development opportunities, while identifying and mitigating legal risks.
- Prepare and file ASIC returns and other documents required to be lodged with ASIC.
- Assist with the preparation, review and lodgment of announcements pursuant to the ASX Listing Rules and ensure appropriate disclosure.

ABOUT YOU You bring 10+ years' post-admission legal experience, including significant in-house experience and exposure to the resources sector. In ddition you will have:

- Relevant tertiary legal qualifications and current Australian practising credentials.
- Strong commercial and corporate legal experience gained within a mining commodity company, or similar
- Strong exposure to Boards, senior executives and corporate governance.
- Company Secretary experience or experience supporting Board and governance activities.
- The ability to translate complex legal and regulatory matters into clear, pragmatic commercial advice.
- Robust judgment and the confidence to appropriately challenge and influence senior stakeholders.
- Excellent communication and relationship-management skills.
