As a Commercial Contracts Manager, you will be responsible for contract drafting, reviews and negotiations, as well as supporting the Optus Wholesale Division in various legal and commercial customer contract aspects.
You will manage, coordinate, and oversee the contractual pre-signing aspects of the customer relationship. You will play an integral role in the Optus Wholesale Division by providing key support to all members of the that Division in respect of drafting of contracts and other legal documentation, ensuring legal risk management and compliance with internal policies and relevant legislation, and commercially sensitive matters affecting the business.
The Day to Day
- Contracts preparation & negotiation– Drafting and negotiation of all customer contracts, including standard and bespoke agreements, variation agreements, promotion letters, notices, novation agreements, settlement agreements and termination agreements.
- Compliance – Drafting and negotiating contracts to align with the applicable Sale Contracts Policy and applicable legal and regulatory frameworks.
- Legal support – Working closely with the Legal team, the Commercial Contracts Manager provides the first level of legal support and guidance to the Optus Wholesale Division.
- Credit and legal risk control – Ensuring commercial contracts minimise Optus’ exposure to operational, legal, financial and credit risks.
- Regulatory engagement – Interface with Optus’ regulatory team on key regulatory issues affecting Optus involving strategic, operational, technical and legal compliance issues.
- Leadership – Being a trusted advisor and partner to the Optus Wholesale Division, providing legal and commercial guidance to support sound decision-making and risk mitigation (working with the Legal team).
- Process improvement – Implementing and continually improving the contract governance process which tracks contracts end-to-end from contract draft request to signing.
What You Bring
- Legal drafting experience and a legal academic background, such as a law degree or equivalent qualifications.
- Extensive years of relevant work experience in contract drafting, negotiation, legal risk management, compliance, and governance. Some prior experience as a lawyer in private practice or as an inhouse legal counsel is very strongly preferred, given how important drafting skills are to the role.
- Ability to draft bespoke legal and commercial terms without precedents.
- Attention to detail, excellent communication and problem-solving skills.
- Ability to meet deadlines with minimal supervision or assistance.
- Commercial foundations and business acumen.
- Understanding of telecommunications operations and/or a wholesale setting is desirable.
