Deputy Chair (Chair Designate) and Non-Executive Director The Organisation A substantial privately owned industrial services business operating at scale across its sector is strengthening the independence and formality of its governance. The Board is responsible for strategic direction, financial performance and risk oversight of the core trading business, working closely with the executive team. It currently comprises the Chair, a Non-Executive Director and the CEO as Executive Director, supported by an Audit Committee.
Two new independent directors will join to strengthen the Board’s capability and independence.
The Opportunity
Deputy Chair (Chair Designate)
This is a genuine succession appointment, not a standard board role. The successful candidate will work closely with the incumbent Chair over an agreed transition period, contributing immediately as an effective Non-Executive Director before assuming the Chair role. The mandate extends beyond governance oversight to include custodianship of culture as the organisation continues to grow and evolve.
Non-Executive Director
This is a meaningful opportunity to contribute to strategic direction,
enterprise risk oversight and the development of a more mature governance culture, working alongside the incoming Deputy Chair as the organisation strengthens its independent board capability.
Candidate Profiles
Deputy Chair (Chair Designate)
- Prior CEO experience, with a robust understanding of infrastructure or utilities environments together with exposure to public sector environments
- Prior Chair or Deputy Chair experience, ideally including a chair succession or transition
- Commercial acumen at comparable scale and complexity, and sound risk and governance judgement
- A constructive, opportunity-focused view on innovation and disruption relevant to the sector
Non-Executive Director
- Strong risk management, strategy and governance experience
- Genuine appetite for innovation and disruption, and a constructive view of technology's opportunities for the sector
- Commercial acumen and operating empathy for a business of comparable scale and complexity
- Prior NED experience ideally gained in infrastructure or utilities environments together with exposure to public sector environments
