About the role
St Vincent de Paul Society Victoria is seeking expressions of interest from suitably qualified and experienced independent individuals to join the VincentCare Community Housing Board and our Group Board Committees.
This is an opportunity to contribute your expertise at Board and Committee level and support the governance, sustainability and impact of a large and diverse purpose-led organisation.
Following a Board Committee review and restructure, we have five vacancies across the VincentCare Community Housing Board and Group Board Committees. Appointments may be made across more than one Board or Committee, where appropriate, to support the optimal mix of skills and experience across our governance structure.
A little bit about you
For the VincentCare Community Housing Board, we are looking for an independent experienced Non-Executive Director to contribute to the governance and continued growth of a Registered Housing Provider delivering and managing social, affordable and transitional housing across Victoria. We are particularly seeking a candidate with:
- Strong financial and commercial expertise, including financial management, financial strategy, large-scale commercial operations and oversight of financial performance and sustainability in a large or complex organisation.
- Significant corporate governance experience as a Non-Executive Director or Board Committee Member of a large or complex organisation.
- A recognised skilled accounting qualification (such as CA, CPA or equivalent) would be highly regarded.
- Experience in community housing, social and affordable housing, property or a similarly regulated environment would also be highly regarded.
For our Group Board Committees, we are looking for experienced independent Non-Executive Directors or Board Committee Members to join our Finance & External Audit; Safeguarding,
Risk & Compliance; Investments; and Retail Advisory Committees. We are seeking candidates who bring significant expertise in one or more of the following areas:
- Finance, audit and operations – financial management and strategy, external audit, financial governance and/or senior operational leadership, including within human services organisations.
- Investment – investment and funds management, financial markets, investment governance, financial strategy and/or senior financial leadership.
- Safeguarding, quality and practice governance – safeguarding, practice governance, client voice and customer experience, regulatory compliance and/or senior leadership within human services or regulated care environments.
- Retail and commercial – financial and commercial strategy, large-scale retail operations, growth strategy, e-commerce, property development, supply chain and logistics.
- Corporate governance – substantial experience as a Non-Executive Director or Board Committee Member of a large or complex organisation of similar scale.
Across these roles, we are looking for people who can bring independent judgement, strategic thinking and constructive challenge, work collaboratively with fellow Board and Committee members and management, and demonstrate a strong commitment to the mission of St Vincent de Paul Society.
Key responsibilities
Depending on the appointment, Board and Committee members will:
- Prepare for and attend scheduled Board or Committee meetings (4-6 meetings per annum for 2-4 hours, usually held in person at Box Hill location) and participate in other governance activities such as Annual General Meeting, Site Visits and Annual Workshops.
- Provide independent oversight,
strategic insight and constructive challenge within the scope of the Board or Committee.
- Contribute to oversight of strategy, organisational performance, financial sustainability, risk and compliance relevant to the role of the Board or Committee.
- Contribute specialist expertise while exercising judgement across the broader responsibilities of the Board or Committee.
- Critically assess information and advice and contribute actively to informed and effective decision-making.
- Support a strong culture of accountability, integrity, safeguarding and good governance.
- Act in the best interests of St Vincent de Paul Society, upholding and actively representing our Mission and Values.
