Henley Reid is exclusively retained by a leading investment and lending group to appoint a Finance Lawyer with approximately 2 years’ PAE to join its legal team.
The group manages a substantial portfolio of institutional capital and has an established presence across the Australian and offshore investment and lending markets.
This is a unique opportunity for a junior banking and finance lawyer to move into a highly commercial and exciting in-house role to work closely with experienced investment professionals and senior legal advisers. You will gain direct exposure to the origination, structuring and execution of lending transactions across real estate finance, broader private credit and selected leveraged finance matters.
The Role The role offers broad exposure across the full lifecycle of financing transactions, from initial engagement and term sheet preparation through to credit approval, documentation, execution and post-transaction management.
Key Responsibilities
- Provide legal support on the origination, structuring and execution of private credit transactions, with a strong focus on real estate finance and additional exposure to leveraged finance
- Assist with the preparation, review and negotiation of term sheets and confidentiality agreements
- Support internal credit approval processes and reconcile approved commercial terms against transaction documents
- Assist with the structuring, negotiation, documentation and execution of financing transactions
- Instruct and manage external legal counsel throughout the transaction process
- Coordinate legal conditions precedent, including the review of due diligence reports and legal opinions
- Prepare loan variation documentation and other transaction-related materials
- Draft and negotiate amendments, consents, waivers and releases
- Advise internal stakeholders on contractual rights and obligations
- Assist with workout and enforcement matters where required
- Work closely with investment professionals and other internal stakeholders to facilitate the timely execution of transactions
About You
- Approximately 2 years’ PAE gained in the banking and finance practice of a leading law firm
- Experience advising on lending transactions, with exposure to real estate finance, with private credit and/or leveraged finance highly regarded
- A sound understanding of the legal and regulatory framework relevant to lending
- Strong drafting, analytical and problem-solving skills
- Commercially minded, responsive and comfortable working directly with internal stakeholders
- Able to manage competing priorities and take ownership of matters
- High attention to detail and a commitment to producing quality work
- Collaborative, adaptable and keen to develop within a sophisticated investment setting
