Job Description
An excellent opportunity has arisen for an experienced Assistant Company Secretary to join the Legal and Company Secretariat team of an established ASX-listed investment and funds management group. Working closely with the General Counsel and Company Secretary, you will support a sophisticated governance environment spanning an ASX-listed entity, responsible entities, managed investment schemes and a broader portfolio of listed and unlisted entities.

This is a broad, hands-on role offering genuine exposure to Boards, Committees and senior executives, with responsibility across listed company governance, corporate secretariat, regulatory compliance and funds governance.

The Role
n
Key responsibilities will include:
n
n
- Preparing and coordinating Board and Committee meetings, agendas and papers
n
- Attending meetings and drafting high-quality Board and Committee minutes
n
- Managing annual Board and Committee calendars, workplans and action items
n
- Acting as a key liaison between the Secretariat, senior management and business stakeholders
n
- Supporting ASX Listing Rule and continuous disclosure obligations, including ASX announcements and lodgements
n
- Managing ASIC statutory compliance, corporate records and regulatory filings
n
- Supporting governance requirements across responsible entities, trusts and managed investment schemes
n
- Maintaining statutory registers and corporate structure records across a complex group of entities
n
- Supporting the review and administration of corporate governance policies, charters and delegations
n
- Managing directors' interests, declarations and securities trading records
n
- Assisting with Annual Reports, Corporate Governance Statements and related governance disclosures
n
- Supporting the preparation and delivery of AGMs and other securityholder meetings
n
- Assisting with director induction, education and Board performance review processes
n
- Identifying opportunities to continuously improve governance systems, processes and practices
n
n
About You
n
You will ideally bring:
n
n
- Approximately six or more years' corporate secretariat experience
n
- Demonstrated experience supporting an ASX-listed organisation
n
- Robust Board and Committee governance experience, including drafting formal minutes
n
- A sound understanding of the Corporations Act, ASX Listing Rules and contemporary corporate governance requirements
n
- Exposure to funds management, financial services, real estate investment management or managed investment schemes will be highly regarded
n
- Experience working with responsible entity, trustee or fund structures would be advantageous
n
- Tertiary qualifications in law, commerce, governance or a related discipline
n
- Governance Institute of Australia qualifications, completed or underway, will be well regarded
n
- Confidence engaging directly with non-executive directors, executives and senior stakeholders
n
- Strong attention to detail, judgement and organisational capability
n
- The ability to manage competing deadlines across multiple Board and regulatory calendars
n
n
You will be a polished and commercially minded governance professional who enjoys operating close to the Board and senior leadership team while remaining comfortable with the detail and execution required of a high-performing Secretariat function.
