Contracting Framework & Legal Documentation Specialist
About the Opportunity
Our client is seeking a suitably qualified legal or commercial contracts professional to undertake a comprehensive review and development of its contracting framework.
The organisation has an existing suite of contractual documentation and is looking to move beyond a document-by-document refresh to establish a consistent, practical and commercially appropriate contracting framework across the business.
The successful consultant will review the existing documentation, identify gaps and inconsistencies, standardise key contractual positions and develop practical tools and guidance to support the business in negotiating and managing third-party agreements.
Scope of Engagement
The successful candidate will be expected to:
Undertake a comprehensive review of the organisation's current suite of contracts, agreements, terms and supporting documentation.
Assess the documents for legal, regulatory, commercial and operational suitability.
Identify gaps and risks
Identify any additional legal, regulatory, commercial or operational gaps.
Highlight areas of material risk, ambiguity or inconsistency.
Recommend appropriate amendments and improvements.
Identify and reconcile inconsistencies between existing documents, templates and contractual positions.
Establish a consistent approach to key contractual issues across the organisation.
Update standard templates
Refresh and standardise existing contractual templates.
Ensure templates are practical, commercially appropriate and capable of being used consistently by internal stakeholders.
Develop a clause library
Establish a consistent clause library covering key contractual provisions.
Include preferred positions, acceptable alternatives and appropriate fallback positions where relevant.
Develop service-specific provisions
Prepare appropriate service-specific contractual provisions.
Ensure the provisions accurately reflect the nature, risks and commercial requirements of each service offering.
Develop third-party negotiation guidance
Prepare practical guidance for employees negotiating agreements based on third-party or customer/supplier standard terms.
Clearly identify acceptable, negotiable and unacceptable positions.
Provide guidance on when matters should be escalated for legal or management review.
Develop an internal legal review template
Create a standardised internal submission template for staff seeking legal review of agreements.
The template should capture relevant commercial and operational context, including:
Project or contract value.
Contracting parties.
Jurisdiction.
Nature and scope of services.
Key commercial considerations.
Urgency and required completion date.
Relevant risks or unusual provisions.
Other information required to enable an effective legal review.
The objective is to ensure that contractual documentation is assessed in the context of the actual services and commercial arrangement being provided.
The engagement is expected to result in a coherent and practical contracting framework, rather than simply a refresh of individual templates.
Key deliverables should include:
Updated standard agreements and contractual terms.
A contract playbook setting out preferred, acceptable and fallback contractual positions.
Clearly defined mandatory clauses and minimum contractual protections.
Identification of prohibited, unacceptable or high-risk contractual positions.
Approval thresholds and escalation triggers.
An agreed order-of-precedence framework for circumstances where multiple contractual documents apply.
Service-specific contractual provisions.
Practical guidance for negotiating third-party standard agreements.
A standard internal legal review / contract submission template.
Clear contractual guardrails for circumstances where the organisation is required to use another party's standard agreement.

The successful candidate will take a practical, commercially minded approach to the engagement.
The objective is not simply to produce legally robust documentation, but to create a framework that can be understood and applied by non-legal personnel across the organisation.
The resulting framework should:
Be commercially practical and proportionate to the organisation's risk profile.
Provide clear guidance rather than relying on legal expertise for every contract.
Create consistency across agreements and business units.
Clearly distinguish between non-negotiable protections and matters that can be commercially negotiated.
Enable employees to identify when legal or management escalation is required.
Accurately reflect the services and commercial arrangements of the business.
Be sufficiently flexible to accommodate different customers, suppliers, jurisdictions and service models.
Ideal Candidate
The organisation is seeking an experienced professional with a strong background in commercial contracting and contract framework development.
The ideal candidate will have:
Demonstrated experience reviewing and developing commercial agreements and contract templates.
Robust understanding of contractual risk, liability, indemnities, insurance, intellectual property, confidentiality, termination and other key commercial provisions.
Experience developing contract playbooks, clause libraries and negotiation frameworks.
Strong commercial judgement and the ability to balance legal risk with business requirements.
Experience developing practical contracting guidance for non-legal stakeholders.
The ability to translate complex legal concepts into transparent, usable business processes.
Strong stakeholder engagement and communication skills.
A pragmatic, solutions-focused approach.
Experience working across technology-enabled services, professional services, healthcare, consulting or other complex service environments would be advantageous.
Outcome
At completion of the engagement, the organisation should have a
clear, consistent and usable contracting framework
that provides employees and internal legal reviewers with the tools, templates and decision-making guidance required to manage contractual risk effectively.
The framework should establish clear boundaries around what the business will accept, what can be negotiated, what requires approval and what must be escalated, while ensuring contracts accurately reflect the services and commercial arrangements being provided.
