QIC is seeking an experienced governance professional to join our Corporate Secretariat & Governance team as an Assistant Company Secretary.

This is a rare opportunity to work at the centre of governance and investment decision-making within one of Australia’s leading institutional investment managers. You will support a broad range of investment committees and governance forums, working closely with senior investment professionals, independent committee chairs and executives across QIC.

The role combines hands-on company secretarial responsibilities with an important advisory component. You will help ensure governance forums operate effectively, support investment teams to navigate approval pathways and contribute to the continued development of QIC’s governance frameworks and policies.

The opportunity A key focus of the role will be supporting QIC’s Investment Committee workstream across multiple investment capabilities.

You will develop close working relationships with investment teams and committee members and provide end-to-end governance support, including meeting preparation, papers, minutes, actions and advice on governance and decision-making pathways.

The breadth and complexity of QIC’s investment platform means this is very different from supporting a single Board or corporate entity. You will work across multiple committees, entities and stakeholders, often managing several governance processes concurrently.

Alongside your investment committee responsibilities, you will contribute to broader governance and policy work, supporting the Corporate Secretariat & Governance team as QIC’s governance framework continues to evolve.

While this is primarily a full-time role, we are open to discussing flexible working arrangements with candidates who can provide the continuity and availability required to support QIC’s committee schedule.

What you’ll be responsible for

- Facilitating Investment Committee and other governance meetings, including agendas, meeting materials, minutes and action items.
- Working closely with investment teams to support the effective sequencing and progression of investment decisions through QIC’s governance framework.
- Providing practical governance advice to senior stakeholders and committee members.
- Developing strong relationships with Investment Committee Chairs, investment teams and executives.
- Supporting Boards, Board Committees, Management Committees and other governance forums as required.
- Coordinating and publishing Board and Committee papers through QIC’s governance systems.
- Supporting investor and other stakeholder governance forums, including preparation of meeting materials and documentation.
- Contributing to the review and development of Board, Committee and governance policies.
- Supporting compliance with Board and Committee Charters and relevant governance requirements.
- Maintaining accurate corporate and governance records.
- Supporting director and committee-member onboarding, inductions,



document execution, preparation of Powers of Attorney and other company secretarial activities.
- Assisting with regulatory reporting and lodgements as required.
- Contributing to continuous improvement across QIC’s governance processes and practices.

What we’re looking for We are looking for someone who combines strong governance fundamentals with excellent judgement, organisation and stakeholder capability.

Ideally, you will bring:

- Experience within company secretariat, corporate governance, legal or a closely related discipline.
- Exposure to Boards, Committees or other senior governance forums.
- Experience within financial services, funds management, superannuation, banking, insurance or another complex regulated environment would be highly regarded.
- An understanding of governance principles and an interest in investment decision-making.
- Strong written communication skills, including experience preparing high-quality minutes, papers and governance documentation.
- Exceptional attention to detail and the ability to manage multiple priorities and deadlines.
- The confidence and interpersonal skills to build trusted relationships with senior executives, investment professionals and independent committee members.
- The ability to work effectively within a small, cooperative team.
- A relevant company secretarial or governance qualification, or progress towards one, would be advantageous.
- We are also open to hearing from lawyers or governance professionals with adjacent experience who are looking to build a career in Company Secretariat and can demonstrate strong transferable skills, commercial judgement and an interest in governance.
