We’re looking for a Board Governance Advisor (12 month contract) to support high-quality governance across PetSure’s boards and committees, with a particular focus on subsidiary governance, policy governance and effective board administration.
Reporting to the Company Secretary and Head of Governance, you’ll help deliver company secretarial, corporate governance, subsidiary governance and policy governance requirements in line with PetSure’s legal, regulatory and internal obligations.
This is a varied role where you’ll work closely with executives, senior leaders, policy owners, Legal, Risk and Compliance teams to enable clear decision-making, accurate records, timely reporting and consistent governance practices across the PetSure group.
What You’ll Do
- Support subsidiary and related entity governance, oversight and reporting requirements.
- Coordinate board and committee meeting cycles, agendas, papers, minutes, resolutions, actions and decision records.
- Maintain accurate governance records, registers, director and officer details, delegations, charters, policies and frameworks.
- Support director appointments, resignations, inductions, annual confirmations and relevant statutory or regulatory filings.
- Promote consistent subsidiary board processes, templates, calendars and reporting across the PetSure group.
- Support the uplift and implementation of PetSure’s policy governance framework, including ownership, review cycles, approvals and version control.
- Improve central policy registers, repositories and reporting dashboards to provide visibility of overdue, upcoming and approved policies.
- Work with policy owners to improve policy quality, alignment,
readability and consistency with governance standards and accountabilities.
- Coordinate annual board and committee calendars, forward agendas and recurring governance activities.
- Prepare governance reporting, insights and status updates for senior stakeholders.
- Contribute to continuous improvement initiatives that strengthen governance discipline, accountability and document quality.
- Stay current with relevant governance, corporate law and prudential regulatory developments and escalate potential impacts.
What You’ll Bring A tertiary qualification in law, governance, business, risk, compliance or a related discipline.
- Experience in governance, company secretarial, risk, compliance or policy governance within an APRA-regulated workplace.
- Experience supporting board, committee or management governance processes, including papers, minutes, actions and records.
- Understanding of corporate governance, company secretarial practice, subsidiary governance and board or committee administration.
- Working knowledge of policy governance frameworks, policy lifecycle management and document control practices.
- Strong written communication skills, including drafting minutes, resolutions, governance papers, policy summaries and stakeholder communications.
- Exceptional attention to detail, sound judgement and discretion when handling confidential and sensitive information.
- Ability to coordinate multiple governance cycles, deadlines,
approvals and actions across entities and committees.
- Confident stakeholder management skills, including working with directors, executives, policy owners and functional teams.
- Proficiency in Microsoft Word, PowerPoint and Excel, with experience using board portals or document management systems such as Diligent.
- Experience maintaining governance documents, registers, policy registers or controlled document repositories.
- A Governance Institute of Australia, legal or company secretarial qualification, or progress toward one, would be highly regarded.
- Knowledge of the Corporations Act, ASIC requirements, APRA prudential requirements and insurance governance obligations would be advantageous.
