About the role The Independent Chair provides leadership to the WOR Board, supports effective governance and decision-making, and acts as an independent sounding board to the Executive Officer and directors. The role also contributes an external perspective to strategy and risk, supports member and stakeholder relationships, and represents WOR where appropriate.

Key responsibilities

- Provide input into the annual Board workplan to guide the work of the Board
- Approve Board meeting agendas in consultation with the Executive Officer and relevant Board office holders
- Chair Board meetings and facilitate constructive, focused discussion and sound decision-making
- Seek contributions from all directors and ensure diverse perspectives are heard
- Keep meetings to time and ensure attention is directed to the matters of greatest strategic importance
- Provide governance advice and support to the organisation, including governance policy development and review
- Set the tone of the Board, including the pace and conduct of meetings and expectations of director behaviour and performance
- Coach, advise and act as a sounding board to the Executive Officer
- Chair member meetings and the Annual General Meeting where required
- Represent Winemakers of Rutherglen at industry meetings as required and advocate for member interests with local, State and Federal Government

About you

- Experience chairing a Board, or extensive experience as a Board or committee member, is essential




- A demonstrably strong knowledge and practical experience of governance, including the governance requirements of an Incorporated Association
- Strong strategic leadership skills and a demonstrated capacity to help organisations translate strategy into outcomes
- Experience in marketing, tourism and/or membership-based organisations will be highly regarded
- Strong stakeholder engagement, networking and relationship-management capability
- Financial acumen and confidence contributing to budget and organisational performance oversight
- Demonstrated advocacy experience and the capacity to influence key industry and government stakeholders will be highly regarded
- An ability to bring an independent perspective, ask constructive questions, facilitate differing views and build consensus
- A commitment to the development, continuous improvement and principles of Winemakers of Rutherglen
