EXPRESSION OF INTEREST – NOMINATION FOR INDEPENDENT DIRECTOR FOR GACJT

Gundjeihmi Aboriginal Corporation Jabiru Town (GACJT) invites Expressions of Interest from suitably qualified individuals to nominate themselves for appointment as an independent (non-Member) director at its next AGM.

The Board is seeking individuals who demonstrate a solid commitment to the highest standards of governance, independence, and integrity, and who will support the proper strategic oversight of the organisation in a manner that respects and advances the interests of the Mirarr Traditional Owners.

About us

GACJT is the Mirarr Traditional Owner organisation that manages the Jabiru Township through a s19A lease under the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth) (ALRA) and is incorporated under the Corporations (Aboriginal and Torres Strait Islander) Act 2006(Cth) (CATSI Act).





GACJT administers the land tenure over Jabiru in accordance with the Township Lease and has a formal role under the Jabiru Town Plan to ensure compliance with the Mirarr Jabiru Masterplan. The existence of GACJT ensures that income from the Township Lease benefits the Mirarr community's social and economic development.

About the role The Board of Directors is currently made up of four Members who are Mirarr Traditional Owners and two non-member (independent) directors.

GACJT is seeking an experienced independent director to join its Board and contribute to the strategic leadership, governance, and ongoing success of the organisation. It is seeking an individual who can provide independent oversight, sound judgement, and valuable professional expertise at the Board level. Nominees should possess relevant skills and experience in the following areas:

- Knowledge of native title and/or s19A Township leases;
- Corporate governance and board processes under the CATSI Act;
- Monitoring organisational performance and risk management;
- Support effective decision-making and accountability;
- Financial literacy and fiduciary oversight;
- Uphold the highest standards of corporate and Indigenous governance; and
- CEO selection, performance, and evaluation.

SELECTION CRITERIA

Essential Criteria

Experience or expertise in the following





- Minimum 4 years previous experience as a Director of a CATSI corporation;
- Demonstrated understanding of governance principles and directors' responsibilities under the CATSI Act;
- Experience in Indigenous community-controlled corporate governance;
- Able to contribute skills, experience, and independent judgement to Board deliberations;
- Knowledge of s19A Township leases;
- Be able to think strategically and contribute independently;
- Possess high-level communication skills;
- Have a strong understanding of, and commitment to, Aboriginal cultural values, decision-making processes, and community governance;
- Hold, or have applied for, a Director Identification Number (Director ID) prior to nomination; and
- Willingness to sign a consent to be a director form prior to nomination.

Highly Regarded Criteria Experience or expertise in the following areas will be highly regarded:

- Experience working with ALRA s19A Township leases in Northern Territory Aboriginal communities;
- Legal, compliance, and regulatory skills;
- Environmental, sustainability and development approvals/planning experience;
- Finance, accounting and audit experience;
- Corporate governance and risk management experience; and
- Government, community, or commercial sector board appointments.

Time Commitment

- One half day (approximately) Board meeting every 8 weeks / 6-7 times per year.
- 2-3 Finance Committee meetings per year.
- Review of Board papers prior to meetings, including CEO catch-up prior to each meeting.

Current Remuneration

- $600 sitting fees per Board meeting.
