We're seeking another excellent Commercial and Corporate Lawyer to join our already amazing team of experienced lawyers.

You will have demonstrated experience in M&As; and business sales, and commercial drafting (even as a junior), whether that be drafting the agreements, negotiating with the counterparty, attending to conditions precedent and pre-completion matters, and completion/settlement itself. We're looking to someone we can mentor to take full carriage of such matters (or who can already), backed by our experienced directors.

About you

n

n
- Demonstrated experience in equity transactions and business sales – principally sales of going concerns and share sales,



but also selective share buy backs and shareholder agreements. (We will ask about some recent matters you've worked on!)
n
- Minimum 5 years post-admission experience.
n
- Practising and located in WA, and Western Australian legal experience.
n
- An interest to expand into additional areas including corporate, commercial, property and estate planning.
n
- Self-sufficient and autonomous, with good computer skills.
n
- Looking for regular collegiate conferrals and mentoring, practical legal/contemporary business skill development, and working with only experienced senior commercial lawyers and directors (everyone else is 10 years PA or more).

About the position

n

You will be working on and regularly exposed to a large range of various, interesting and often complex/challenging:

n

- M&As; and business sales, including share (and unit) purchases, sales and issues, partnership transactions, sales and purchases of going concerns and enterprises;
n
- Commercial, including contract reviews, bespoke drafting of contracts, agreements and deeds, hire arrangements, loans and securitisation/PPSR/mortgages, terms of trade, contractor arrangements, employment, intellectual property, software and IT;
n
- Corporate, including advisory, due diligence, business/asset/entity structuring and ownership,



business succession (shareholder, partnership and unitholder agreements, insurance-funded buy/sell option agreements), selective share buyback, financial assistance white washing;

- Property and Leasing, including reviews & bespoke drafting, conveyancing and settlements, loans and securitisation, property development, acting for property sales agencies, complex BRP-into-SMSF and other trust transactions; and
n
- Estate planning, including complex Wills including testamentary trusts, advising high net-wealth family groups, international assets, family and discretionary trust succession arrangements, company and business succession arrangements, SMSFs and BDBNs, Enduring Powers of Attorney and Guardianship.
