Your Team

The Office of the Responsible Entity (ORE) is part of CFS's Legal, Governance, Risk & Compliance team which is accountable for strengthening governance and oversight across CFS to ensure customer, investor and unitholder outcomes remain central to business decisions and strategic initiatives. This role and the team play an key part in the success of CFS's strategic priorities.

This role is Sydney CBD based, with hybrid working.

Your Responsibilities

- Reporting into the Head of the ORE, we have an incredible opportunity for a Director ORE to join CFS and assist the RE Board in meeting it's fiduciary and regulatory obligations.
- Supporting the RE Board in carrying out its governance role to ensure its legal and regulatory obligations are met
- Assisting the RE Board in understanding how improved investor outcomes are achieved through strategic initiatives, business decisions and operational priorities
- Providing comfort and support to the RE Board that service providers (including related parties) are meeting their obligations, including by providing direct test and challenges to the RE's material service providers
- Provide pragmatic advice and guidance to the business on investment governance practices, including investment decision-making processes, portfolio management and fiduciary duties.
- Support the business in integrating ESG factors into the investment decision-making processes and investment analysis, risk management and performance evaluation.
- Proactively engaging, influencing colleagues across CFS. This includes oversight of key activities (e.g.



investment governance)
- Reviewing and overseeing key policies, frameworks and Board papers
- Advocating and supporting the continual improvement of the governance function and its processes, including the strategic design and implementation of transformational governance activities
- Provide guidance on effective corporate governance practices that enhance decision-making processes
- Stay informed about changes in regulations and industry practices that may impact CFS and proactively assess the implications of these changes to relevant stakeholders.
- Providing strategic advice on governance and compliance issues to assist directors and management in the discharge of their duties and obligations.

Your Capability and Experience

- Extensive experience in a governance related role such as consulting, legal, governance and/or risk within the financial services sector is key
- Proven track record of effectively advising and guiding business units on compliance, governance, or risk management matters, with tangible outcomes focused on investment governance and ESG integration.
- Strong understanding of investment governance principles and fiduciary duties.
- Strong analytical and problem-solving skills, with the ability to assess complex situations and provide pragmatic recommendations
- Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels
- Develops and maintains effective stakeholder relationships by being a valued and trusted adviser, exercising judgement and influencing key governance outcomes




- Thorough knowledge and understanding of corporate governance structure, standards, financial services regulations and legislation
- Strategic thinking ability (to best contribute to strategy, plans and initiatives) and strong track record of delivering transformational change
