The Opportunity

We are seeking a high-performing Associate Director to join our growing Deals SPA Advisory team at Horizon Nexus Partners. This role can be based in either our Brisbane, Sydney or Melbourne office.

Our team advises clients throughout the transaction lifecycle, helping them navigate SPA negotiations, manage completion risk and protect deal value. This is an opportunity to work on complex, high-impact transactions across a broad range of sectors, with exposure to private clients, private equity and corporate organisations.

The role would suit an experienced Transaction Services or Corporate Finance professional who is commercially minded, enjoys working in a deal-driven setting and is ready to take the next step in their career. Direct SPA advisory experience is highly regarded, but not essential.

Working closely with Directors, Partners, lawyers and lead advisers, you will play a key role in delivering trusted advice to clients while contributing to the continued growth and development of our SPA Advisory practice.

Beyond client delivery, you will have the opportunity to mentor emerging talent, contribute to business development and help build a collaborative, high-performing team.

What You Will Do

- Advise clients on value and risk issues arising from deal completion mechanics within SPAs.
- Assess how alternative treatments of purchase price adjustments can impact value and develop the commercial arguments that support clients' negotiating positions.
- Assist with drafting key financial and accounting provisions within SPAs.




- Advise clients post-transaction on the preparation and review of completion accounts and earn-out accounts, including supporting completion account disputes.
- Work across a diverse range of transactions and sectors, advising private clients, private equity investors and corporates.
- Build trusted relationships with clients, lawyers, lead advisers and other key transaction stakeholders.
- Coach and mentor team members, building the technical and commercial capability of the growing SPA Advisory practice.
- Contribute to business development initiatives and help identify opportunities to grow the practice.

What We Are Looking For

Essential

- Significant experience in Transaction Services / Financial Due Diligence or Corporate Finance.
- Excellent communication and stakeholder management skills, with the confidence to engage directly with senior executives, investors and business owners.
- Proven ability to manage multiple projects and competing priorities in a fast-paced environment.
- Strong commercial acumen, with the ability to identify and articulate key deal risks and opportunities.
- Relevant tertiary qualification in Accounting, Commerce, Business or Finance.
- A proactive, collaborative approach and genuine interest in working in a high-performing deals environment.

Desirable




- Previous experience in a dedicated SPA Advisory team.
- Experience advising on completion accounts, earn-outs or other transaction-related accounting matters.
- Professional accounting or finance qualification.
