Role Overview:

As an Independent External Member of the Nominations Committee (the Committee), you will play a pivotal role in guiding Victoria University towards continued growth and success.

The Victoria University Nominations

Committee is a formally constituted committee of Council with particular responsibility for providing Council with strategic advice,



oversight and recommendations in relation to governance appointments and succession planning, including Council and committee membership. This includes oversight of processes for identifying, assessing and recommending candidates to ensure an appropriate balance of skills, experience and diversity aligned to the University’s governance requirements. Your insights and leadership will contribute to shaping the future of our institution.

Committee Functions Include:

- Coordinate and make recommendations for the appointment of members to Council, including government‑appointed, Council‑appointed and elected categories, in accordance with the Victoria University Act 2010.
- Make recommendations to Council on membership of Council standing committees to ensure appropriate composition and capability
- Evaluate candidates having regard to legislative requirements, including fit and proper person criteria, and whether they possess appropriate skills, knowledge, experience and personal attributes.
- Consider the overall composition of Council and committees, including balance of skills, experience, independence and diversity.
- Consider succession planning for Council and committee roles to maintain continuity,



capability and effective governance.

Primary Skills Requirement and Qualifications:

We are currently looking for an individual with demonstrated expertise relevant to the Committee’s functions, including Board or senior executive search, selection and appointment processes.

Additionally, the candidate will possess:

a. Contemporary knowledge, experience, and leadership at a senior executive level within a large private or public sector organisation.

b. AICD Company Directors Course qualifications, or equivalent, are highly desirable.

Remuneration and Commitments:

Committee Members receive remuneration in accordance with State Government Guidelines.

Commitments include three Committee meetings annually. The Chair may call special meetings as required.
